Plume Website Terms of Use

Thank you for your interest Plume Design Inc. (“Plume,” “we,” or “us”) and the innovative products and services we build. These Website Terms of Use apply to the Plume web site and online store located at www.plume.com, and all associated sites linked to www.plume.com by Plume (collectively, the "Site"). These Website Terms of Use are a legally binding contract between you and Plume regarding your use of the Site.
PLEASE READ THE FOLLOWING TERMS CAREFULLY.
BY CLICKING " ACCEPT," OR BY OTHERWISE ACCESSING OR USING THE SITE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SITE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING PLUME'S PRIVACY POLICY (TOGETHER, THESE "TERMS"). If you are not eligible, or do not agree to the Terms, then you do not have our permission to use the Site. YOUR USE OF THE SITE CONSTITUTES AN AGREEMENT BY PLUMER AND BY YOU TO BE BOUND BY THESE TERMS.
ARBITRATION NOTICE. Except for certain kinds of disputes described in Section 10, you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND Plume ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT to assert or defend your rights under this contract (except for matters that may be taken to small claims court). Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury. (See Section 10.)
1. Ownership; Proprietary Rights.The Site is owned and operated by Plume. The visual interfaces, graphics, artwork, information, data, computer code, and all other elements of the Site ("Materials"), including the design, structure, selection, coordination, expression, "look and feel" and arrangement of such Materials are protected by intellectual property and other laws. All Materials included in the Site are the property of Plume or its third party licensors. Except as expressly authorized by Plume, you may not make use of the Materials. Plume reserves all rights to the Materials not granted expressly in these Terms.
2. Your Use of the Site.
- 2.1. Limited License. Subject to your complete and ongoing compliance with these Terms, Plume grants you, solely for your personal use, a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to: access and use the Site.
- 2.2. Restrictions. Except and solely to the extent such a restriction is impermissible under applicable law, you may not:
- a. reproduce, distribute, publicly display, or publicly perform the Site; make modifications to the Site; or interfere with or circumvent any feature of the Site, including any security or access control mechanism.
- b. use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Site or any Materials, or in any way reproduce or circumvent the navigational structure or presentation of the Site or any Materials, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Site. Plume reserves the right to bar any such activity.
- c. attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any Plume server, or to any of the services offered on or through the Site, by hacking, password "mining" or any other illegitimate means.
- d. probe, scan or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site.
- e. reverse look-up, trace or seek to trace any information on any other user of or visitor to the Site, or any other customer of Plume, including any Plume account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.
- f. take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or Plume’s systems or networks, or any systems or networks connected to the Site or to Plume.
- g. use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site.
- h. may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to Plume on or through the Site or any service offered on or through the Site.
- i. pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.
- j. use the Site or any Materials for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity or other activity which infringes the rights of Plume or others.
- 2.3. Feedback. If you choose to provide input and suggestions regarding problems with or proposed modifications or improvements to the Site ("Feedback"), then you hereby grant Plume an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to exploit the Feedback in any manner and for any purpose, including to improve the Site and create other products and services.
3. Third Party Terms .
- 3.1. Third Party Sites and Linked Websites. Plume may provide tools through the Site that enable you to export information, including User Content, to third party services, including through features that allow you to link your account on Plume with an account on the third party service, such as Twitter or Facebook, or through our implementation of third party buttons (such as "like" or "share" buttons). By using one of these tools, you agree that Plume may transfer that information to the applicable third party service. Third party services are not under Plume’s control, and, to the fullest extent permitted by law, Plume is not responsible for any third party service's use of your exported information. The Site may also contain links to third party websites. Linked websites are not under Plume’s control, and Plume is not responsible for their content.
4. User Content.
- 4.1. User Content Generally. Certain features of the Site may permit users to upload content to the Site, including messages, reviews, photos, video, images, folders, data, text, and other types of works ("User Content") and to publish User Content on the Site. You retain any copyright and other proprietary rights that you may hold in the User Content that you post to the Site.
- 4.2. Limited License Grant to Plume. By providing User Content to or via the Site, you grant Plume a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid right and license (with the right to sublicense) to host, store, transfer, display, perform, reproduce, modify for the purpose of formatting for display, and distribute your User Content, in whole or in part, in any media formats and through any media channels now known or hereafter developed.
- 4.3. Limited License Grant to Other Users By providing User Content to or via the Site to other users of the Site, you grant those users a non-exclusive license to access and use that User Content as permitted by these Terms and the functionality of the Site.
- 4.4. User Content Representations and Warranties.
Plume disclaims any and all liability in connection with User Content. You are solely responsible for your User Content and the consequences of providing User Content via the Site. By providing User Content via the Site, you affirm, represent, and warrant that:
- a. you are the creator and owner of the User Content, or have the necessary licenses, rights, consents, and permissions to authorize Plume and users of the Site to use and distribute your User Content as necessary to exercise the licenses granted by you in this Section, in the manner contemplated by Plume, the Site, and these Terms;
- b. your User Content, and the use of your User Content as contemplated by these Terms, does not and will not: (i) infringe, violate, or misappropriate any third party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (iii) cause Plume to violate any law or regulation; and
- c. your User Content could not be deemed by a reasonable person to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate.
- 4.5. User Content Disclaimer. We are under no obligation to edit or control User Content that you or other users post or publish, and will not be in any way responsible or liable for User Content. Plume may, however, at any time and without prior notice, screen, remove, edit, or block any User Content that in our sole judgment violates these Terms or is otherwise objectionable. You understand that when using the Site you will be exposed to User Content from a variety of sources and acknowledge that User Content may be inaccurate, offensive, indecent, or objectionable. You agree to waive, and do waive, any legal or equitable right or remedy you have or may have against Plume with respect to User Content. If notified by a user or content owner that User Content allegedly does not conform to these Terms, we may investigate the allegation and determine in our sole discretion whether to remove the User Content, which we reserve the right to do at any time and without notice. For clarity, Plume does not permit copyright-infringing activities on the Site.
- 4.6. Monitoring Content. Plume does not control and does not have any obligation to monitor: (a) User Content; (b) any content made available by third parties; or (c) the use of the Site by its users. You acknowledge and agree that Plume reserves the right to, and may from time to time, monitor any and all information transmitted or received through the Site for operational and other purposes. If at any time Plume chooses to monitor the content, Plume still assumes no responsibility or liability for content or any loss or damage incurred as a result of the use of content. During monitoring, information may be examined, recorded, copied, and used in accordance with our Privacy Policy.
5. Digital Millennium Copyright Act.

5.1. DMCA Notification.
- We comply with the provisions of the Digital Millennium Copyright Act applicable to Internet service providers (17 U.S.C. §512, as amended). Any notice alleging that materials hosted by or distributed through the Site infringe intellectual property rights must comply include the following information:
- a. an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other right being infringed;
- b. a description of the copyrighted work or other intellectual property that you claim has been infringed;
- c. a description of the material that you claim is infringing and where it is located on the Site;
- d. your address, telephone number, and email address;
- e. a statement by you that you have a good faith belief that the use of the materials on the Site of which you are complaining is not authorized by the copyright owner, its agent, or the law; and
- f. a statement by you that the above information in your notice is accurate and that, under penalty of perjury, you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.
- 5.2. Repeat Infringers. We will promptly terminate without notice the accounts of users that we determine by are "repeat infringers." A repeat infringer is a user who has been notified of infringing activity more than twice or has had user content (e.g., Comments) removed from the Service more than twice.
6. Modifications.
- 6.1. Terms.We reserve the right to change these Terms on a going-forward basis at any time. Please check these Terms periodically for changes. If a change to these Terms materially modifies your rights or obligations, we may require that you accept the modified Terms in order to continue to use the Site. Material modifications are effective upon your acceptance of the modified Terms. Immaterial modifications are effective upon publication. Except as expressly permitted in this Section 6, these Terms may be amended only by a written agreement signed by authorized representatives of the parties to these Terms. Disputes arising under these Terms will be resolved in accordance with the version of these Terms that was in effect at the time the dispute arose.
- 6.2. Site.Plume reserves the right to modify or discontinue the Site at any time (including by limiting or discontinuing certain features of the Site), temporarily or permanently, without notice to you. Plume will have no liability for any change to the Site or any suspension or termination of your access to or use of the Site.
7. Indemnity.
To the fullest extent permitted by law, you are responsible for your use of the Site, and you will defend and indemnify Plume and its officers, directors, employees, consultants, affiliates, subsidiaries and agents (together, the "Plume Entities") from and against every claim brought by a third party, and any related liability, damage, loss, and expense, including reasonable attorneys' fees and costs, arising out of or connected with: (a) your unauthorized use of, or misuse of, the Site; (b) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (c) your violation of any third party right, including any intellectual property right or publicity, confidentiality, other property, or privacy right; or (d) any dispute or issue between you and any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of those claims.
8. Disclaimers; No Warranties.
THE SITE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. Plume DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SITE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SITE, INCLUDING: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; AND (B) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE. Plume DOES NOT WARRANT THAT THE SITE OR ANY PORTION OF THE SITE, OR ANY MATERIALS OR CONTENT OFFERED THROUGH THE SITE, WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND Plume DOES NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE SITE OR Plume ENTITIES OR ANY MATERIALS OR CONTENT AVAILABLE THROUGH THE SITE WILL CREATE ANY WARRANTY REGARDING ANY OF THE Plume ENTITIES OR THE SITE THAT IS NOT EXPRESSLY STATED IN THESE TERMS. WE ARE NOT RESPONSIBLE FOR ANY DAMAGE THAT MAY RESULT FROM THE SITE AND YOUR DEALING WITH ANY OTHER SITE USER. YOU UNDERSTAND AND AGREE THAT YOU USE ANY PORTION OF THE SITE AT YOUR OWN DISCRETION AND RISK, AND THAT WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM OR MOBILE DEVICE USED IN CONNECTION WITH THE SITE) OR ANY LOSS OF DATA, INCLUDING USER CONTENT.
THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. Plume does not disclaim any warranty or other right that Plume is prohibited from disclaiming under applicable law.
9. Limitation of Liability.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE PLUME ENTITIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SITE OR ANY MATERIALS OR CONTENT ON THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY Plume ENTITY HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGE.
EXCEPT AS PROVIDED IN SECTION 10.4 AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE Plume ENTITIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SITE OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO PLUME FOR ACCESS TO AND USE OF THE SITE IN THE 12 MONTHS PRIOR TO THE EVENT OR CIRCUMSTANCE GIVING RISE TO CLAIM (but not including the purchase price for any PRODUCTS OR SUBSCRIPTION SERVICES); OR (B) $100.
EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS INTENDED TO AND DOES ALLOCATE THE RISKS BETWEEN THE PARTIES UNDER THESE TERMS. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS. THE LIMITATIONS IN THIS SECTION 9 WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
10. Dispute Resolution and Arbitration.
- 10.1. Generally. In the interest of resolving disputes between you and Plume in the most expedient and cost effective manner, and except as described in Section 10.2, you and Plume agree that every dispute arising in connection with these Terms will be resolved by binding arbitration. Arbitration is less formal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, may allow for more limited discovery than in court, and can be subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. This agreement to arbitrate disputes includes all claims arising out of or relating to any aspect of these Terms, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of whether a claim arises during or after the termination of these Terms. YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND Plume ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
- 10.2. Exceptions. Despite the provisions of Section 10.1, nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through the applicable federal, state, or local agency if that action is available; (c) seek injunctive relief in a court of law in aid of arbitration; or (d) to file suit in a court of law to address an intellectual property infringement claim.
- 10.3. Arbitrator. Any arbitration between you and Plume will be settled under the Federal Arbitration Act and administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (collectively, "AAA Rules") as modified by these Terms. The AAA Rules and filing forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by contacting Plume. The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this binding
- 10.4. Notice of Arbitration; Process. A party who intends to seek arbitration must first send a written notice of the dispute to the other party by certified U.S. Mail or by Federal Express (signature required) or, only if that other party has not provided a current physical address, then by electronic mail ("Notice of Arbitration"). Plume’s address for Notice is: Plume Legal, 290 S. California Ave #200, Palo Alto, CA 94306. The Notice of Arbitration must: (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought ("Demand"). The parties will make good faith efforts to resolve the claim directly, but if the parties do not reach an agreement to do so within 30 days after the Notice of Arbitration is received, you or Plume may commence an arbitration proceeding. All arbitration proceedings between the parties will be confidential unless otherwise agreed by the parties in writing. During the arbitration, the amount of any settlement offer made by you or Plume must not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any. If the arbitrator awards you an amount higher than the last written settlement amount offered by Plume in settlement of the dispute prior to the award, Plume will pay to you the higher of: (i) the amount awarded by the arbitrator; or (ii) $10,000.
- 10.5. Fees. If you commence arbitration in accordance with these Terms, Plume will reimburse you for your payment of the filing fee, unless your claim is for more than $10,000, in which case the payment of any fees will be decided by the AAA Rules. Any arbitration hearing will take place at a location to be agreed upon in Santa Clara, California, but if the claim is for $10,000 or less, you may choose whether the arbitration will be conducted: (a) solely on the basis of documents submitted to the arbitrator; (b) through a non-appearance based telephone hearing; or (c) by an in-person hearing as established by the AAA Rules in the county (or parish) of your billing address. If the arbitrator finds that either the substance of your claim or the relief sought in the Demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all fees will be governed by the AAA Rules. In that case, you agree to reimburse Plume for all monies previously disbursed by it that are otherwise your obligation to pay under the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator’s ruling on the merits.
- 10.6. No Class Actions. YOU AND PLUME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Plume agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.
- 10.7. 30-Day Opt-Out Period. If you do not wish to be bound by the arbitration and class-action waiver provisions in this Section 10, you must notify Plume in writing within 30 days of the date that you first accept these Terms (unless a longer period is required by applicable law). Your written notification must be mailed to Plume at the following address: Plume Legal, 290 S. California Ave #200, Palo Alto, CA 94306. Subject to Section 10.9 below, if you do not notify Plume in accordance with this Section 10.8, you agree to be bound by the arbitration and class-action waiver provisions of these Terms, including such provisions in any Terms revised after the date of your first acceptance. Such notification must include: (a) your name, (b) the email address associated with your Plume account, (c) your mailing address, and (d) a statement that you do not wish to resolve disputes with Plume through arbitration. This notification affects these Terms only; if you previously entered into other arbitration agreements with Plume or enter into other such agreements in the future, your notification that you are opting out of the arbitration provision in these Terms shall not affect the other arbitration agreements between you and Plume.
- 10.8. Modifications to this Arbitration Provision. If you do not wish to be bound by the arbitration and class-action waiver provisions in this Section 10, you must notify Plume in writing within 30 days of the date that you first accept these Terms (unless a longer period is required by applicable law). Your written notification must be mailed to Plume at the following address: Plume Legal, 290 S. California Ave #200, Palo Alto, CA 94306. Subject to Section 10.9 below, if you do not notify Plume in accordance with this Section 10.8, you agree to be bound by the arbitration and class-action waiver provisions of these Terms, including such provisions in any Terms revised after the date of your first acceptance. Such notification must include: (a) your name, (b) the email address associated with your Plume account, (c) your mailing address, and (d) a statement that you do not wish to resolve disputes with Plume through arbitration. This notification affects these Terms only; if you previously entered into other arbitration agreements with Plume or enter into other such agreements in the future, your notification that you are opting out of the arbitration provision in these Terms shall not affect the other arbitration agreements between you and Plume.
- 10.9. Enforceability. If Section 27 is found to be unenforceable or if the entirety of this Section 21 is found to be unenforceable, then the entirety of this Section 21 will be null and void and, in that case, the parties agree that the exclusive jurisdiction and venue described in Section 31 will govern any action arising out of or related to these Terms.
11. Miscellaneous.
- 11.1. General Terms. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference into these Terms, are the entire and exclusive understanding and agreement between you and Plume regarding your use of the Site. You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice or consent. The failure to require performance of any provision will not affect our right to require performance at any other time after that, nor will a waiver by us of any breach or default of these Terms, or any provision of these Terms, be a waiver of any subsequent breach or default or a waiver of the provision itself. Use of section headers in these Terms is for convenience only and will not have any impact on the interpretation of any provision. Throughout these Terms the use of the word "including" means "including but not limited to". If any part of these Terms is held to be invalid or unenforceable, the unenforceable part will be given effect to the greatest extent possible, and the remaining parts will remain in full force and effect.
- 11.2. Governing Law. These Terms are governed by the laws of the State of California without regard to conflict of law principles. You and Plume submit to the personal and exclusive jurisdiction of the state courts and federal courts located within Santa Clara, California, for resolution of any lawsuit or court proceeding permitted under these Terms. We operate the Site from our offices in Palo Alto, California, and we make no representation that Materials included in the Site are appropriate or available for use in other locations.
- 11.3. Privacy Policy. Please read the Privacy Policy carefully for information relating to our collection, use, storage, disclosure of your personal information. The Plume Privacy Policy is incorporated by this reference into, and made a part of, these Terms.
- 11.4. Additional Terms. Your use of the Site is subject to all additional terms, policies, rules, or guidelines applicable to the Site or certain features of the Site that we may post on or link to from the Site (the "Additional Terms"). All Additional Terms are incorporated by this reference into, and made a part of, these Terms.
- 11.5. Consent to Electronic Communications. By using the Site, you consent to receiving certain electronic communications from us as further described in our Privacy Policy. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing.

Your purchase of products ( "Products"), including the Plume-branded hardware products ("Plume Products"), and/or subscription services ("Subscription Services"), including Plume's membership subscriptions to its Plume Cloud Services (as defined in the Plume Membership and Cloud Services Agreement ) ("Plume Memberships"), is your agreement to be bound to these Plume Terms of Sale ("Terms"), and any additional terms we provide, including our Website Terms of Use , Privacy Policy , Limited Warranty , any other terms posted at www.plume.com/legal , and any other terms included in-box with any Products.

ARBITRATION NOTICE. Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury. (See Section 23)

Although the Store is accessible worldwide, the Products and Subscription Services offered on the Store are not designed and tested for use in all countries. If you choose to access the Store and/or use the Products and Subscription Services outside a country in which Plume supports the Store, Products, and/or Subscription Services (each, a "Target Country"), as applicable, you do so on your own initiative and you are solely responsible for complying with applicable local laws in that country. You understand and accept that the Store and the Products and Subscription Services are not designed for use in a non-Target Country and some or all of the features of the Store, Products and Subscription Services may not work or be appropriate for use in such a country. To the fullest extent permissible by law, Plume accepts no, and hereby disclaims all, responsibility or liability for any damage or loss caused by your access or use of the Store, Products and/or Subscription Services in a non-Target Country.
1. Availability and PricingAll Products offered on the Store are subject to availability, and we reserve the right to impose quantity limits on any order, to reject all or part of an order and to discontinue offering certain Products and/or Subscription Services without prior notice. Prices for the Products and Subscription Services are subject to change at any time, but changes will not affect any order for Products you have already placed. In the event we change the pricing for any Subscription Service you have purchased, we will give you advance notice of this change in accordance with section 16 (Notifications). After receiving this notice, you will be deemed to have accepted the change in pricing, unless you cancel your subscription as set forth in section 4(d) above.
2. Accounts. order to make a purchase via the Store, you may be required to provide us with some information about yourself, such as your name, email address, shipping address, and payment information. You agree that the information you provide to us is accurate and that you will keep it accurate and up-to-date at all times. You are solely responsible for maintaining the confidentiality of your account, and you accept responsibility for all activities that occur under your account. If you believe that your account is no longer secure, then you must immediately notify us at support@plume.com.
3. Orders.
- 3.1. Products and Subscription Services may be ordered via the Store by clicking on the items you wish to purchase and then following the prompts that will appear on-screen. You may check and correct any input errors in your order up until the point at which you submit your order to us by clicking the "Complete Payment" button on the checkout page (each an "Order"). After placing an order, you will receive an acknowledgment from us that we have received your order and give you an order reference number. Please note that this does not mean that your order has been accepted. Your order constitutes an offer to us to buy the Products or Stores set forth on the order.
- 3.2. All Orders are subject to acceptance by us. We are not obliged to accept your order and may, at our discretion, decline to accept any order. You do, however, acknowledge that by clicking on the "Complete Payment" button, you enter into an obligation to pay for the Products and Stores set forth on the order. Where we accept your order, we will confirm such acceptance by sending you a confirmation that your order has been dispatched ("Order Confirmation").
- 3.3. The contract between you and us in relation to the Products and Subscription Services set forth on the order ("Contract") will only be formed when we send you the Order Confirmation. Subject to Section 3.4 (including our rights to cancel orders that we believe may be fraudulent), after entering into the Contract, we will be under a legal duty to supply you with Products and Subscription Services in conformity with the Contract. The Contract will relate only to the Products and Subscription Services which have been confirmed in the Order Confirmation. We will not be obliged to supply any other Products or Subscription Services which may have been part of your order until such Products or Subscription Services have been confirmed in a separate Order Confirmation.
- 3.4. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per Order. These restrictions may include Orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors, or that, in our sole discretion, appear to be fraudulent. We reserve the right, but are not obligated, to limit the sales of our Products or Stores to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any Products or Stores that we offer. We reserve the right to discontinue any Product or Store at any time. Any offer for any Product or Store made on this Website is void where prohibited.
4. Payment Terms.
- 4.1. Price The price of Products and Subscription Services are as quoted on the Store from time to time. Prices for the Products may include shipping costs if expressly noted on the Store at the time of checkout. Prices and shipping costs are liable to change at any time, but changes will not affect orders in respect of which we have already sent you an Order Confirmation. It is always possible that, despite our efforts, some of the Products or Subscription Services listed on the Store may be incorrectly priced. We will normally verify prices as part of our dispatch procedures so that, where a Product or Store correct price is less than our stated price, we will charge you the lower amount. If a Product or Plume Membership’s correct price is higher than the price stated on the Store, we will normally, at our discretion, either contact you for instructions before dispatching the Product or Store, or reject your order and notify you of such rejection.

4.2. Payment
- a. Payment for purchases of any of the Products or Stores offered on our Store must be made by credit or debit card on the checkout page. We accept payment with most major credit or debit cards. By providing a credit card or other payment method accepted by Plume, you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our third-party payment processor) to charge your payment method for the total amount of your order (including any applicable taxes and any other additional charges that may be payable). When paying by credit card, Plume may seek pre-authorization prior to your purchase to verify that the credit card is valid and has the necessary funds or credit available to cover your purchase. Plume’s current third-party payment processor is Stripe. Stripe’s terms, available here , apply to payments for the Stores.
- b. If the payment method you provide cannot be verified, is invalid or is otherwise not acceptable, your order may be suspended or cancelled. You must resolve any problem we encounter in order to proceed with your order.
- c. If you want to change or update payment information associated you can do so at any time by contacting us at orders@plume.com.
5. Subscription Services.
- 5.1. Subscription Plans. Plume offers different subscription plans for its Subscription Services. For more information about these plans, including Plume Memberships, please visit here.

5.2. Recurring Payments
- a. If you activate a Subscription Service, you authorize Plume to periodically charge, on a going-forward basis and until cancellation of either the recurring payments or your account, all accrued sums on or before the payment due date for the accrued sums. Except as otherwise set forth in the specific terms applicable to a Subscription Service (e.g., as to Plume Memberships, the Plume Membership and Cloud Services Agreement ), the "Subscription Billing Date" for that Subscription Service is the date when you purchase your first subscription to the Subscription Service. As to all Subscription Services, your account will be charged automatically on the Subscription Billing Date all applicable fees and taxes for the next subscription period. The subscription will continue unless and until you cancel your subscription or we terminate it. You must cancel your subscription before it renews in order to avoid billing of the next periodic Subscription Fee to your account. We will bill the periodic Subscription Fee to the payment method you provide to us during registration (or to a different payment method if you change your payment information).

5.3. Subscription Termination.
- a. You may request termination of your Subscription Service subscription anytime by contacting Plume Support at support@plume.com. As to Plume Memberships, if you request termination within 60 days from the date of Order Confirmation for your purchase of new Products that are sold coupled with a new Plume Membership subscription, you will receive a full refund upon the return of the hardware in its original packaging in good condition. Any unused Plume Membership subscription fees are not refundable if you terminate after the 60 day return period, but can be applied towards purchasing a Lifetime Membership subscription.
- b. If you do not pay the entire Subscription Service subscription fees up-front (e.g., your subscription fees are payable on a monthly basis) and you cancel your Subscription Service more than sixty days after you purchase that Subscription Service, you agree that we may charge you (and you agree to pay) the subscription fees for the unused remainder of the subscription period. For example, if your Plume Membership subscription period is 12 months with subscription fees paid monthly and you terminate that Plume Membership with 6 months of the subscription period remaining, we have the right to charge you the fees you would have paid for that unused six-month period.
- 5.4. Delinquent Accounts. Plume may suspend or terminate access to the Subscription Services, including fee-based portions of the Store, for any account for which any amount is due but unpaid. In addition to the amount due for the Subscription Service, a delinquent account will be charged with fees or charges that are incidental to any chargeback or collection of any the unpaid amount, including collection fees.
6. Product Returns.
- 6.1. If, for any reason, you want to return the Product you purchased from the Store for a refund, you must notify us no later than 60 days following the date of Order Confirmation (the "Cancellation Period"). To initiate a return, you must inform us of your decision within the Cancellation Period by contacting Plume customer support and clearly stating your desire to return the Product and completing the returns form available on our website here and submitting that form and other information as we may reasonably request to Plume customer support at support@plume.com. Although it will not affect your right to a refund, please include details on how and when you purchased the Product and your reason for returning the Product. Plume customer service will provide you with a Return Materials Authorization ("RMA") that must be included with your return shipment to Plume so Plume can identify your shipment and with a return address. If you purchased the Product from somewhere other than the Store, please contact that reseller in connection with returns and refunds as Plume cannot, and has no obligation, to process returns and/or refunds for products not purchased via the Store.
- 6.2. You have a legal obligation to take reasonable care of the Product(s) while in your possession prior to any refund claim. If you fail to comply with this obligation, we may have a right to deduct the cost of any deterioration (due, for example, to your having used the Product(s)), up to the price of the Product(s), from the refund to which you are otherwise entitled.
- 6.3. To receive a refund, you must return your Product (and any promotional merchandise supplied with the Product) with an RMA within the 14 days following the day on which you notify Plume customer support that you desire to return your Product. Unless the Product is faulty or not as described, you will be responsible for all costs associated with returning the Product to us (including uninstallation and the cost of shipping the Product back to Plume), provided that, we may, as a courtesy, include return shipping labels at our discretion. We will refund the price you paid for the Product plus original delivery cost. If you purchase a Product bundle (multiple Products sold together at a discount) (a "Bundle") and you return only part of the Bundle, we will subtract the total Bundle discount from your refund. If you received any promotional or other discount when you paid, any refund will only reflect the amount you actually paid. We may reduce the amount of your refund to reflect any reduction in the value of the Product, as determined in our sole discretion, caused by your handling them in a way which goes beyond what is necessary to establish their nature, characteristics and functioning (e.g., beyond what would normally be permitted in a shop).
- 6.4. We will process the refund due to you as soon as possible and, in any case, within 30 days from the date of receipt by Plume of the returned Product. The Product is not eligible for a refund after the 60-day period.
- 6.5. If any Product you order is damaged or faulty when delivered to you or has developed a fault, you may have one or more legal remedies available to you, depending on when you make us aware of the problem, in accordance with your legal rights. If you believe a Product was delivered damaged or faulty or has developed a fault, you should inform us as soon as possible, preferably in writing, giving your name, address and order reference.
7. Resale; Title Transfer; Freight Forwarding. made on the Store are intended for end users only, and are not authorized for resale. Title for Products purchased from the Store passes to the consumer at the time of delivery to the shipment address set forth on the Order Confirmation. Plume and/or the delivery carrier will be responsible for any Product loss or damage that occurs when the Product is in transit from Plume to the shipping address set forth on the Order Confirmation. To avoid doubt, Plume will have no responsibility for damages caused by or during any freight forwarding from the shipping address on the Order Confirmation to any other location. Where Plume provides replacement Products due to damage during shipment to the shipment address, Plume will have no obligation to deliver those replacement Products to any location other than the shipment address.
8. Shipping and Delivery.
Products will be shipped in the manner and to the address indicated on the Order Confirmation. The estimated arrival or delivery date is not a guaranteed delivery date for your order. Refused deliveries will be returned to our warehouse. It may take up to 45 days for the returned items to be identified as refused and processed for a refund.
9. Modification of these Terms. reserve the right to change these Terms on a going-forward basis at any time. Please check these Terms periodically for changes. If a change to these Terms materially modifies your rights or obligations, we may require that you accept the modified Terms in order to continue to use the Stores. Material modifications are effective upon your acceptance of the modified Terms. Immaterial modifications are effective upon publication. Except as expressly permitted in this Section 9, these Terms may be amended only by a written agreement signed by authorized representatives of the parties to these Terms. Disputes arising under these Terms will be resolved in accordance with the version of these Terms that was in effect at the time the dispute arose.
10. Disclaimers; No Warranties STORE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE STORE ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS. Plume DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE STORE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE STORE, INCLUDING: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; AND (B) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE. Plume DOES NOT WARRANT THAT THE STORE OR ANY PORTION OF THE STORE, OR ANY MATERIALS OR CONTENT OFFERED THROUGH THE STORE, WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND Plume DOES NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED.
All Products and Subscription Services purchased through the Store are provided on an "as-is" basis unless otherwise noted in the Limited Warranty or the specific terms applicable to the Subscription Service, as applicable. With respect to Plume Products, you may choose whether to make a claim under these Terms, the Limited Warranty , or both, but you may not recover twice in respect of the same loss. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE STORE OR Plume ENTITIES OR ANY MATERIALS OR CONTENT AVAILABLE THROUGH THE STORE WILL CREATE ANY WARRANTY REGARDING ANY OF THE Plume ENTITIES OR THE STORE THAT IS NOT EXPRESSLY STATED IN THESE TERMS. WE ARE NOT RESPONSIBLE FOR ANY DAMAGE THAT MAY RESULT FROM THE STORE AND YOUR DEALING WITH ANY OTHER STORE USER. YOU UNDERSTAND AND AGREE THAT YOU USE ANY PORTION OF THE STORE AT YOUR OWN DISCRETION AND RISK, AND THAT WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM OR MOBILE DEVICE USED IN CONNECTION WITH THE STORE) OR ANY LOSS OF DATA, INCLUDING USER CONTENT.

You will be solely responsible for (and Plume disclaims) any and all loss, liability or damages resulting from your use of a Product and/or Subscription Service, including damage or loss to your Product, other peripherals connected to the Product, computer, mobile device, and all other items in your home.
THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. Plume does not disclaim any warranty or other right that Plume is prohibited from disclaiming under applicable law.
11. Limitation of Liability. THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE Plume ENTITIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE STORE OR ANY MATERIALS OR CONTENT ON THE STORE, OR ANY PRODUCTS OR SUBSCRIPTION SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY Plume ENTITY HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGE.
EXCEPT AS PROVIDED IN SECTION 27 AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE (I.E., NOT PER CLAIM) LIABILITY OF THE PLUME ENTITIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE STORE, PRODUCTS, SUBSCRIPTION SERVICES, OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO PLUME FOR THE PRODUCT AND/OR SUBSCRIPTION SERVICE AT ISSUEN THE 6 MONTHS PRIOR TO THE EVENT OR CIRCUMSTANCE GIVING RISE TO CLAIM; OR (B) $100.
EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS INTENDED TO AND DOES ALLOCATE THE RISKS BETWEEN THE PARTIES UNDER THESE TERMS. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS. THE LIMITATIONS IN THIS SECTION 22 WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
12. Dispute Resolution and Arbitration
- 12.1. Generally. In the interest of resolving disputes between you and Plume in the most expedient and cost effective manner, and except as described in Section 25, you and Plume agree that every dispute arising in connection with these Terms will be resolved by binding arbitration. Arbitration is less formal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, may allow for more limited discovery than in court, and can be subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. This agreement to arbitrate disputes includes all claims arising out of or relating to any aspect of these Terms, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of whether a claim arises during or after the termination of these Terms. YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND Plume ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
- 12.2. Exceptions. Despite the provisions of Section 24, nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through the applicable federal, state, or local agency if that action is available; (c) seek injunctive relief in a court of law in aid of arbitration; or (d) to file suit in a court of law to address an intellectual property infringement claim.
- 12.3. Arbitrator. Any arbitration between you and Plume will be settled under the Federal Arbitration Act and administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (collectively, "AAA Rules") as modified by these Terms. The AAA Rules and filing forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by contacting Plume. The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this binding arbitration agreement.
- 12.4. Notice of Arbitration; Process. A party who intends to seek arbitration must first send a written notice of the dispute to the other party by certified U.S. Mail or by Federal Express (signature required) or, only if that other party has not provided a current physical address, then by electronic mail ("Notice of Arbitration"). Plume’s address for Notice is: Plume Legal, 290 S. California Ave #200, Palo Alto, CA 94306. The Notice of Arbitration must: (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought ("Demand"). The parties will make good faith efforts to resolve the claim directly, but if the parties do not reach an agreement to do so within 30 days after the Notice of Arbitration is received, you or Plume may commence an arbitration proceeding. All arbitration proceedings between the parties will be confidential unless otherwise agreed by the parties in writing. During the arbitration, the amount of any settlement offer made by you or Plume must not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any. If the arbitrator awards you an amount higher than the last written settlement amount offered by Plume in settlement of the dispute prior to the award, Plume will pay to you the higher of: (i) the amount awarded by the arbitrator; or (ii) $10,000.
- 12.5. Fees. If you commence arbitration in accordance with these Terms, Plume will reimburse you for your payment of the filing fee, unless your claim is for more than $10,000, in which case the payment of any fees will be decided by the AAA Rules. Any arbitration hearing will take place at a location to be agreed upon in Santa Clara, California, but if the claim is for $10,000 or less, you may choose whether the arbitration will be conducted: (a) solely on the basis of documents submitted to the arbitrator; (b) through a non-appearance based telephone hearing; or (c) by an in-person hearing as established by the AAA Rules in the county (or parish) of your billing address. If the arbitrator finds that either the substance of your claim or the relief sought in the Demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all fees will be governed by the AAA Rules. In that case, you agree to reimburse Plume for all monies previously disbursed by it that are otherwise your obligation to pay under the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator’s ruling on the merits.
- 12.6. No Class Actions. YOU AND PLUME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Plume agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.
- 12.7. 29.1 30-Day Opt-Out Period. If you do not wish to be bound by the arbitration and class-action waiver provisions in this Section 12, you must notify Plume in writing within 30 days of the date that you first accept these Terms (unless a longer period is required by applicable law). Your written notification must be mailed to Plume at the following address: Plume Legal, 290 S. California Ave #200, Palo Alto, CA 94306. Subject to Section 12.9 below, if you do not notify Plume in accordance with this Section 12.8, you agree to be bound by the arbitration and class-action waiver provisions of these Terms, including such provisions in any Terms revised after the date of your first acceptance. Such notification must include: (a) your name, (b) the email address associated with your Plume account, (c) your mailing address, and (d) a statement that you do not wish to resolve disputes with Plume through arbitration. This notification affects these Terms only; if you previously entered into other arbitration agreements with Plume or enter into other such agreements in the future, your notification that you are opting out of the arbitration provision in these Terms shall not affect the other arbitration agreements between you and Plume.
- 12.8. Modifications to this Arbitration Provision. If Plume makes any future change to this arbitration provision, other than a change to Plume’s address for Notice of Arbitration, you may reject the change by sending us written notice within 30 days of the change to Plume’s address for Notice of Arbitration, in which case your account with Plume will be immediately terminated and this arbitration provision, as in effect immediately prior to the changes you rejected will survive.
- 12.9. Enforceability. If Section 29 is found to be unenforceable or if the entirety of this Section 23 is found to be unenforceable, then the entirety of this Section 23 will be null and void and, in that case, the parties agree that the exclusive jurisdiction and venue described in Section 34 will govern any action arising out of or related to these Terms.
13. Miscellaneous.
- 13.1. General Terms. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference into these Terms, are the entire and exclusive understanding and agreement between you and Plume regarding your use of the Store. You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice or consent. The failure to require performance of any provision will not affect our right to require performance at any other time after that, nor will a waiver by us of any breach or default of these Terms, or any provision of these Terms, be a waiver of any subsequent breach or default or a waiver of the provision itself. Use of section headers in these Terms is for convenience only and will not have any impact on the interpretation of any provision. Throughout these Terms the use of the word "including" means "including but not limited to". If any part of these Terms is held to be invalid or unenforceable, the unenforceable part will be given effect to the greatest extent possible, and the remaining parts will remain in full force and effect.
- 13.2. Governing Law. These Terms are governed by the laws of the State of California without regard to conflict of law principles. You and Plume submit to the personal and exclusive jurisdiction of the state courts and federal courts located within Santa Clara, California, for resolution of any lawsuit or court proceeding permitted under these Terms. We operate the Store from our offices in Palo Alto, California, and we make no representation that Materials included in the Store are appropriate or available for use in other locations.
- 13.3. Privacy Policy. Please read the Plume Privacy Policy carefully for information relating to our collection, use, storage, disclosure of your personal information. The Privacy Policy is incorporated by this reference into, and made a part of, these Terms.
- 13.4. Additional Terms. Your use of the Store is subject to all additional terms, policies, rules, or guidelines applicable to the Store or certain features of the Store that we may post on or link to from the Store (the "Additional Terms"). All Additional Terms are incorporated by this reference into, and made a part of, these Terms.
- 13.5. Consent to Electronic Communications. By using the Store, you consent to receiving certain electronic communications from us as further described in our Privacy Policy. Please read our Privacy Policy to learn more about our electronic communications practices. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing.

Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at (800) 952-5210 in order to resolve a complaint regarding the Store or to receive further information regarding use of the Store.
- 13.8. No Support. We are under no obligation to provide support for the Store. In instances where we may offer support, the support will be subject to published policies.
End User License Agreement
By using the Plume Product Software that is embedded on the Plume Products (each as defined in the Plume Membership and Cloud Services Agreement), you agree to the terms of this End User License Agreement ("EULA") between you and Plume.

Your use of the website located at plume.com and all sub-domains (each, a "Site") is governed by the Website terms of use . Your use of a Plume Membership and the Plume Cloud Services is governed by the Plume Membership and Cloud Services Agreement . Your purchase of the Plume Products (excluding the Plume Product Software) and Plume Membership subscription is governed by the Sales Terms and, as to the Plume Products, the Limited Warranty . This EULA does not govern your use of the Site, Plume Cloud Services, Plume Membership subscription, or your purchase of the foregoing or the Plume Products (excluding the Plume Product Software).
This EULA governs your access and use of the Plume Product Software. This EULA gives you specific legal rights, and you may also have other legal rights in addition, which vary from jurisdiction to jurisdiction. The disclaimers, exclusions, and limitations of liability under this EULA will not apply to the extent prohibited by applicable law. Some jurisdictions do not allow the exclusion of implied warranties or the exclusion or limitation of incidental or consequential damages or other rights, so those provisions of this EULA may not apply to you.

BY ACCESSING AND USING THE Plume Product Software, YOU ARE ACCEPTING AND AGREEING TO THIS EULA ON BEHALF OF YOURSELF OR THE ENTITY YOU REPRESENT IN CONNECTION WITH THE ACCESS. YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ACCEPT AND AGREE TO THIS EULA ON BEHALF OF YOURSELF OR THE ENTITY YOU REPRESENT. YOU REPRESENT THAT YOU ARE OF SUFFICIENT LEGAL AGE IN YOUR JURISDICTION OR RESIDENCE TO USE OR ACCESS THE PRODUCT SOFTWARE AND TO ENTER INTO THIS EULA. IF YOU DO NOT AGREE WITH ANY OF THE PROVISIONS OF THESE TERMS, YOU SHOULD CEASE ACCESSING OR USING THE PRODUCT SOFTWARE.
AS DESCRIBED BELOW, YOU ARE CONSENTING TO AUTOMATIC SOFTWARE UPDATE OF THE PRODUCT SOFTWARE. IF YOU DO NOT AGREE, YOU SHOULD NOT USE THE PRODUCT SOFTWARE.
AS DESCRIBED BELOW, SECTION 9 DESCRIBES IMPORTANT LIMITATIONS OF THE PRODUCT SOFTWARE AND RELATED SERVICES, ESPECIALLY IN CONNECTION WITH LIFE SAFETY AND CRITICAL USES. PLEASE READ THESE DISCLOSURES CAREFULLY, AS YOU ARE ACKNOWLEDGING THEM AND ACCEPTING THEM.
1. License. Subject to the terms of this EULA, Plume grants to you a limited and nonexclusive license (without the right to sublicense) to execute one (1) copy of the Plume Product Software, in executable object code form only, solely on the Plume Product that you own or control and solely for use in conjunction with the Plume Product for your personal, non-commercial purposes.
2. Restrictions.You agree not to, and you will not permit others to, (a) license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Plume Product Software or make the Plume Product Software available to any third party, (b) copy or use the Plume Product Software for any purpose other than as permitted in Section 1, (c) use any portion of the Plume Product Software on any device or computer other than the Plume Product that you own or control, (d) remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels in the Plume Product Software, or (e) modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Plume Product Software (except to the extent applicable laws specifically prohibit such restriction for interoperability purposes, in which case you agree to first contact Plume and provide Plume an opportunity to create such changes as are needed for interoperability purposes). You may not release the results of any performance or functional evaluation of any of the Plume Product Software to any third party without prior written approval of Plume for each such release.
3. Automatic Software Updates.Plume may from time to time develop patches, bug fixes, updates, upgrades and other modifications to improve the performance of the Plume Product Software and related services ("Updates"). These may be automatically installed without providing any additional notice or receiving any additional consent. You consent to this automatic update. If you do not want such Updates, your remedy is to stop using the Plume Product. If you do not cease using the Plume Product, you will receive Updates automatically. You acknowledge that you may be required to install Updates to use the Plume Product and the Plume Product Software and you agree to promptly install any Updates Plume provides. Your continued use of the Plume Product is your agreement to this EULA.
4. Ownership. The Plume Product Software and all worldwide copyrights, trade secrets, and other intellectual property rights therein are the exclusive property of Plume and its licensors. Plume and its licensors reserve all rights in and to the Plume Product Software not expressly granted to you in this EULA. The Plume Product Software (and all copies thereof) is licensed to you, not sold, under this EULA. There are no implied licenses in this EULA. All suggestions or feedback provided by you to Plume with respect to the Plume Product Software shall be Plume’ property. Plume may use, copy, modify, publish, or redistribute the submission and its contents for any purpose and in any way without any compensation to you. You also agree that Plume does not waive any rights to use similar or related ideas previously known to Plume, developed by its employees, or obtained from other sources.
5. Open Source.Certain items of software included with the Plume Product Software are subject to "open source" or "free software" licenses ("Open Source Software"). Some of the Open Source Software is owned by third parties. The Open Source Software is not subject to the terms and conditions of this EULA. Instead, each item of Open Source Software is licensed under the terms of the end user license that accompanies such Open Source Software. Nothing in this EULA limits your rights under, or grants you rights that supersede, the terms and conditions of any applicable end user license for the Open Source Software. If required by any license for particular Open Source Software, Plume makes such Open Source Software, and Plume’ modifications to that Open Source Software, available by written request to Plume at the email or mailing address listed below.
6. Term and Termination.This EULA and the license granted hereunder are effective on the date you first use the Plume Product Software or Plume Product and shall continue for as long as you own the Plume Product, unless this EULA is terminated under this section. Plume may terminate this EULA at any time if you fail to comply with any term(s) hereof. You may terminate this EULA effective immediately upon written notice to Plume. Upon termination of this EULA, the license granted hereunder will terminate and you must stop all use of the Plume Product Software, but the terms of Sections 2 through 18 (inclusive) will remain in effect, after any such termination.
7. Warranty Disclaimer.NOTWITHSTANDING ANYTHING TO THE CONTRARY AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLUME PROVIDES THE PRODUCT SOFTWARE "AS-IS" AND DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. PLUME DOES NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF THE PRODUCT SOFTWARE. PLUME MAKES NO WARRANTY THAT THE PRODUCT SOFTWARE WILL BE UNINTERRUPTED, FREE OF VIRUSES OR OTHER HARMFUL CODE, TIMELY, SECURE, OR ERROR-FREE.
YOU USE ALL PRODUCT INFORMATION (AS DEFINED BELOW), THE PRODUCT SOFTWARE, AND THE PRODUCT AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR (AND PLUME DISCLAIMS) ANY AND ALL LOSS, LIABILITY, OR DAMAGES, INCLUDING TO OTHER PERIPHERALS CONNECTED TO THE PRODUCT, COMPUTER, MOBILE DEVICE, AND ALL OTHER ITEMS IN YOUR HOME, RESULTING FROM YOUR USE OF THE PRODUCT INFORMATION, PLUME PRODUCT SOFTWARE, OR PLUME PRODUCT.
8. Limitation of Liability.Nothing in this EULA and in particular within this "Limitation of Liability" clause shall attempt to exclude liability that cannot be excluded under applicable law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN ADDITION TO THE ABOVE WARRANTY DISCLAIMERS, IN NO EVENT WILL (A) PLUME BE LIABLE FOR ANY CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR INCIDENTAL DAMAGES, INCLUDING ANY DAMAGES FOR LOST DATA OR LOST PROFITS, ARISING FROM OR RELATING TO THE PRODUCTS OR PRODUCT SOFTWARE, EVEN IF PLUME KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, AND (B) PLUME’S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THE PRODUCTS AND PRODUCT SOFTWARE, WHETHER IN CONTRACT OR TORT OR OTHERWISE, EXCEED THE FEES ACTUALLY PAID BY YOU TO PLUME’S OR PLUME’S AUTHORIZED RESELLER FOR THE PRODUCT AT ISSUE IN THE PRIOR 12 MONTHS (IF ANY). THIS LIMITATION IS CUMULATIVE AND WILL NOT BE INCREASED BY THE EXISTENCE OF MORE THAN ONE INCIDENT OR CLAIM. PLUME DISCLAIMS ALL LIABILITY OF ANY KIND OF PLUME’S LICENSORS AND SUPPLIERS.
9. No Emergency Use.You acknowledge that the Plume Products and Plume Product Software are not certified for emergency response. The Plume Product Software provides you information ("Product Information") regarding the Plume Products in your home and their connection with other products and services. All Product Information is provided "as is" and "as available". We cannot guarantee that it is correct or up to date. In cases where it is critical, accessing Product Information through the Plume Product Software is not a substitute for direct access of the information in the home.
10. Confidentiality. "Confidential Information".means the Plume Product Software and all other information disclosed to you that Plume characterizes as confidential at the time of its disclosure either in writing or orally, except for information which you can demonstrate: (a) is previously rightfully known to you without restriction on disclosure; (b) is or becomes, from no act or failure to act on your part, generally known in the relevant industry or public domain; (c) is disclosed to you by a third party as a matter of right and without restriction on disclosure; or (d) is independently developed by you without access to the Confidential Information. You shall use your best efforts to preserve and protect the confidentiality of the Confidential Information at all times, both during the term hereof and for a period of at least 3 years after termination of this EULA, provided, however, that any source code you receive shall be held in confidence in perpetuity. You shall not disclose, disseminate or otherwise publish or communicate Confidential Information to any person, firm, corporation or other third party without the prior written consent of Plume. You shall not use any Confidential Information other than in the course of the activities permitted hereunder. You shall notify Plume in writing immediately upon discovery of any unauthorized use or disclosure of Confidential Information or any other breach of this EULA, and will cooperate with Plume in every reasonable way to regain possession of Confidential Information and prevent any further unauthorized use. If you are legally compelled to disclose any of the Confidential Information, then, prior to such disclosure, you will (i) immediately notify Plume prior to such disclosure to allow Plume an opportunity to contest the disclosure, (ii) assert the privileged and confidential nature of the Confidential Information, and (iii) cooperate fully with Plume in protecting against any such disclosure and/or obtaining a protective order narrowing the scope of such disclosure and/or use of the Confidential Information. In the event such protection is not obtained, you shall disclose the Confidential Information only to the extent necessary to comply with the applicable legal requirements.
11. For U.S. Government End Users. The Plume Product Software is a "commercial item," as that term is defined at 48 C.F.R. 2.101 (OCT 1995), and more specifically is "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 C.F.R. 12.212 (SEPT 1995). Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4 (JUNE 1995), the Plume Product Software is provided to U.S. Government End Users only as a commercial end item and with only those rights as are granted to all other customers pursuant to the terms and conditions herein.
12. Export Compliance. The Plume Product Software and related technology are subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree to strictly comply with all such laws and regulations and acknowledge that you have the responsibility to obtain authorization to export, re-export, or import the Plume Product Software and related technology, as may be required. You will indemnify and hold Plume harmless from any and all claims, losses, liabilities, damages, fines, penalties, costs and expenses (including attorney’s fees) arising from or relating to any breach by you of your obligations under this section.
13. Governing Law; Venue. The courts in some countries will not apply California law to some types of disputes. If you reside in one of those countries, then where California law is excluded from applying, your country’s laws will apply to such disputes related to these terms. Otherwise, you agree that this EULA, and any claim, dispute, action, cause of action, issue, or request for relief relating to this EULA, will be governed by the laws of California, without giving effect to any conflicts of laws principles that require the application of the laws of a different jurisdiction. Any action or proceeding relating to this EULA must be brought in a federal or state court located in Santa Clara County, California and each party irrevocably submits to the jurisdiction and venue of any such court in any such claim or dispute, except that Plume may seek injunctive relief in any court having jurisdiction to protect its intellectual property or Confidential Information.
14. Assignment. Neither the rights nor the obligations arising under this EULA are assignable by you, and any such attempted assignment shall be void and without effect.
15. Notices. Any notice to you may be provided by email to the address that you registered with Plume.
16. Severability. If any provision of this EULA is unenforceable, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
17. Waiver. All waivers by Plume will be effective only if in writing. Any waiver or failure by Plume to enforce any provision of this EULA on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.
18. General. The Plume Product Software is deemed irrevocably accepted upon your use of the Plume Product Software or Plume Product. Plume will have no responsibility to provide maintenance or support services with respect to the Plume Product Software. The parties are independent contractors. You acknowledge that the Plume Product Software contains valuable trade secrets and proprietary information of Plume, that any actual or threatened breach of Section 2 (Restrictions) of this EULA will constitute immediate, irreparable harm to Plume for which monetary damages would be an inadequate remedy, and that injunctive relief is an appropriate remedy for such breach. The headings of Sections of this EULA are for convenience and are not to be used in interpreting this EULA. Except as otherwise provided in this section, no amendment to this EULA will be valid unless it is in writing hand-signed by the parties. Plume Membership and Cloud Services Agreement

This Plume Membership and Cloud Services Agreement is between you and Plume and governs your use of Plume’s Adaptive WiFi™ services, Homepass® services, AI Security services, Plume’s related mobile applications, (the "Plume Cloud Services") and the Plume membership subscriptions ("Plume Membership") necessary to enable and use those services. This Plume Membership and Cloud Services Agreement is a legally binding contract between you and Plume regarding your use of the Plume Cloud Services and your Plume Membership.
PLEASE READ THE FOLLOWING TERMS CAREFULLY.
BY CLICKING "I ACCEPT," OR BY OTHERWISE ACTIVATING A PLUME MEMBERSHIP OR ACCESSING OR USING THE PLUME CLOUD SERVICES YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO SUCH ACTIVATION, ACCESS, AND/OR USE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING PLUME’S PRIVACY POLICY (TOGETHER, THESE "TERMS"). If you are not eligible, or do not agree to the Terms, then you do not have our permission to use the PLUME MEMBERSHIP OR PLUME CLOUD SERVICES. YOUR ACTIVATION, ACCESS, AND/OR USE OF THE PLUME MEMBERSHIP OR PLUME CLOUD SERVICES CONSTITUTES AN AGREEMENT BY PLUME AND BY YOU TO BE BOUND BY THESE TERMS.
ARBITRATION NOTICE.Except for certain kinds of disputes described in Section 15, you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND PLUME ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT to assert or defend your rights under this contract (except for matters that may be taken to small claims court). Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury. (See Section 15.)
1. Overview; Relation to other Agreements. The Plume Cloud Services work in conjunction with Plume’s hardware products ("Plume Product(s)") and certain third-party hardware products, in a manner designed to improve and give users more control over their internet experience, including by functioning as an Adaptive WiFi system. To access and use the Plume Cloud Services, it is necessary to have an active Plume Membership. (See Section 2). These Terms govern your use of the Plume Cloud Services, Plume Products, and your Plume Membership. Your purchase of any Plume Product and Plume Membership subscription is governed by the Sales Terms and, as to the Plume Products, the Limited Warranty. The software embedded in the Plume Products (and any related software updates) ("Product Software") is licensed and governed by the End User License Agreement. Users interact with and control the Plume Cloud Services via Plume’s Android and iOS mobile applications (the "Plume App"). For more details on Plume Cloud Services' features and functionalities, please see Section 4.
2. Access and Use.
- 2.1. Limited License. Subject to your complete and ongoing compliance with these Terms, Plume grants you, solely for your personal use, a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) install and use one object code copy of Plume App obtained from a legitimate marketplace (whether installed by you or pre-installed on your mobile device by the device manufacturer) on a mobile device that you own or control; and (b) access and use the Plume Cloud Services in connection with your Plume Membership.
- 2.2. License Restrictions. Except and solely to the extent such a restriction is impermissible under applicable law, you may not: (a) reproduce, distribute, publicly display, or publicly perform the Plume Cloud Services; (b) make modifications to the Plume Cloud Services; or (c) interfere with or circumvent any feature of the Plume Cloud Services, including any security or access control mechanism. If you are prohibited under applicable law from using the Plume Cloud Services, you may not use them.
- 2.3. Use Requirements.

- a. Plume Memberships. To use the Plume Cloud Services, it is necessary to have an active Plume Membership. See Section 3. (Plume Memberships) for additional terms applicable to Plume Memberships.
- b. Devices; Software. Use of the Plume Cloud Services may require compatible devices, Internet access, and certain software (fees may apply); may require periodic updates; and may be affected by the performance of these factors. The latest version of required software may be required for certain transactions or features. You agree that meeting these requirements is your responsibility.
- c. Accounts. To access most features of the Plume Cloud Services, you must register for an account. When you register for an account, you may be required to provide us, or the applicable Plume Partner, with some information about yourself, such as your name and email address. You agree that the information you provide to us is accurate and that you will keep it accurate and up-to-date at all times. When you register, you may be asked to provide a password. You are solely responsible for maintaining the confidentiality of your account and any such password, and you accept responsibility for all activities that occur under your account. If you believe that your account is no longer secure, then you must immediately notify us at support@plume.com. Plume reserves the right to limit the number of accounts that may be created from a device and the number of devices associated with an account.
- d. Automatic Updates. Plume may, from time to time, develop patches, bug fixes, updates, upgrades and other modifications ("Updates") to improve the performance of the Plume Cloud Services (including the Plume App) and/or the Plume Products Software. These may be automatically installed without providing any additional notice or receiving any additional consent. You consent to this automatic update. If you do not want such Updates, your remedy is to terminate your account and stop using the Plume Cloud Services and the Plume Products. If you do not terminate a previously created account, you will receive Updates automatically. You acknowledge that you may be required to install Updates to use the Plume Cloud Services and the Plume Products and you agree to install any Updates that Plume provides promptly. Your continued use of the Plume Cloud Services and the Plume Products is your agreement to the End User License Agreement with respect to updated Plume Product Software; and (iii) any change or updates that Plume may make to these Terms or the End User License Agreement over time.
- e. Reliability of Services. You acknowledge that the Plume Cloud Services, including remote access and mobile notifications, are not error-free or 100% reliable and 100% available. Proper functioning of the Plume Cloud Services relies and is dependent on, among other things, the transmission of data through the wi-fi network, enabled wireless device (such as a phone or tablet) and broadband internet access, for which Plume is not responsible, and may be interrupted, delayed, refused, or otherwise limited for a variety of reasons, including insufficient coverage, power outages, termination of service and access, environmental conditions, interference, non-payment of applicable fees and charges, unavailability of radio frequency channels, system capacity, upgrades, repairs or relocations, and priority access by emergency responders in the event of a disaster or emergency (collectively, "Service Interruptions"). You understand that Service Interruptions may result in the Plume Cloud Services being unreliable or unavailable for the duration of the Service Interruption. Although we will use commercially reasonable efforts to notify you of Service Interruption (including via the Mobile App, email, or through our Website), we cannot and do not guarantee that you will receive notifications within any given time, or at all. YOU AGREE THAT YOU WILL NOT RELY ON THE PLUME CLOUD SERVICES FOR ANY LIFE SAFETY OR CRITICAL PURPOSES. The Plume Cloud Services may be suspended temporarily, without notice, for security reasons, systems failure, maintenance and repair, or other circumstances. You agree that you will not be entitled to any refund or rebate for such suspensions. Plume does not offer any specific uptime guarantee for the Plume Cloud Services.
3. Plume Memberships
- 3.1. Generally.To use the Plume Cloud Services, it is necessary to have an active Plume Membership. Plume offers Plume Membership subscriptions for sale directly to consumers at its Online Store , and through various authorized resellers. In addition, Plume partners with other companies (e.g., internet service providers) who may make Plume Memberships available as part of their offerings to their customers ("Plume Partners").
- 3.2. Membership Subscriptions.

- a. Purchased from Plume If you purchased your Plume Membership subscription directly from Plume or its authorized reseller, that subscription will begin earlier of (i) when you first claim a Plume Product to that Plume Membership, and (ii) 60 days after shipment of the Plume Products ordered with Plume Membership. The date your subscription begins will be deemed the Subscription Billing Date (as defined in the Sales Terms) for your Plume Membership. Your Plume Membership subscription will continue from that date for the period indicated in the applicable Order Confirmation (as defined in the Sales Terms), and may automatically renew until automatic renewals are cancelled in accordance with the Sales Terms. - b. Provided by a Plume Partner If your Plume Membership is provided by a Plume Partner (a "Partner Membership"), Plume’s obligation to enable the Plume Cloud Services in connection with that membership is governed by Plume's agreement with that Plume Partner, and your right to a Partner Membership is governed by your agreement with that Plume Partner. Please note that the Plume Partner that provides your Partner Membership, and not Plume, is responsible for support for Plume Products and Plume Cloud Services when you are using your Partner Membership.
- 3.3. Transfer and Termination. Plume Memberships are not transferrable between accounts. Once a Plume Membership is claimed to an account (e.g., you claim one Plume Membership to your account in connection with your home network, and you claim a second Plume Member to your account in connection with a second location), that Plume Membership cannot be transferred to another account with Plume (e.g., to a friend or family member). In addition, to use a Plume Product that was associated with one account with a new or different account, a new or different valid Plume Membership subscription (including payment of new Plume Membership subscription fees) will be required to complete the setup of same hardware in connection with the new or different account.
- 3.4. Passive Service Mode. Following expiration of an active Plume Membership subscription, the Plume Products and the Plume App used in connection with that Plume Membership will function in a limited manner (together, "Passive Service Mode"). Specifically, when functioning in Passive Service Mode: (i) your Plume Products will be restricted to serving as a static home Wi-Fi system and will not receive Plume cloud-enabled performance, security, and usability enhancements; and (ii) the Plume App features will be restricted to basic network management and Wi-Fi configuration, viewing of Plume Products, and viewing of network devices. Plume Products will continue to receive firmware updates in accordance with Plume's then-current support policies regardless of Plume Membership status. To avoid doubt, Passive Service Mode is only available following expiration of an active Plume Membership acquired directly from Plume, its reseller, or a Plume Partner, and is not available in connection with any Plume hardware that you may otherwise acquire.
4. Services Descriptions.
The following descriptions of the features and functionalities of the Plume Cloud Services are for informational purposes only, and will not be deemed to be a representation, warranty, or covenant under these Terms or otherwise.
- 4.1. Adaptive Wifi. Adaptive WiFi is designed to manage the home Wi-Fi network and associated WAN connection, including network setup, Wi-Fi configuration, interference management, device connectivity control and optimization of the network backhaul connections for improved performance.
- 4.2. HomePass®. HomePass® is designed to manage access, content and people in the Plume network. This includes guest access with password control, time of day access restrictions, device access permissions, people profiles creation and management, and content filtering.
- 4.3. AI Security. AI Security™ is designed to monitor and protect devices on the Plume network, including IoT devices, from accessing internet servers or services that may be harmful to the device or user of the network. Common protections can include restricting services known to host cyrpto-miners, ransomware, phishing sites, malware, key loggers, and botnets.
- 4.4. Plume App. Plume App, available on both iOS and Android platforms, serves as the user interface for the end user to setup, control and monitor all Plume Cloud Services.
5. Availability. The Plume Cloud Services, or any feature or part thereof, may not be available in all languages or in all countries and Plume makes no representation that the Plume Cloud Services, or any feature or part thereof, is appropriate or available for use in any particular location. To the extent you choose to access and use the Plume Cloud Services, you do so at your own initiative and are responsible for compliance with any applicable laws.
6. Modifications
- 6.1. Terms. We reserve the right to change these Terms on a going-forward basis at any time. Please check these Terms periodically for changes. If a change to these Terms materially modifies your rights or obligations, we may require that you accept the modified Terms in order to continue to use the Plume Cloud Services. Material modifications are effective upon your acceptance of the modified Terms. Immaterial modifications are effective upon publication. Except as expressly permitted in this Section 6, these Terms may be amended only by a written agreement signed by authorized representatives of the parties to these Terms. Disputes arising under these Terms will be resolved in accordance with the version of these Terms that was in effect at the time the dispute arose.
- 6.2. Plume Cloud Services. Plume reserves the right to modify or discontinue the Plume Cloud Services at any time (including by limiting or discontinuing certain features of the Plume Cloud Services), temporarily or permanently, without notice to you. To the fullest extent permitted by law, Plume will have no liability for any change to the Plume Cloud Services or any suspension or termination of your access to or use of the Plume Cloud Services.
7. Ownership; Proprietary Rights.
- 7.1. Plume Cloud Services. The Plume Cloud Services are owned and operated by Plume. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Plume Cloud Services ("Materials") provided by Plume are protected by intellectual property and other laws. All Materials included in the Plume Cloud Services are the property of Plume or its third party licensors. Except as expressly authorized by Plume, you may not make use of the Materials. Plume reserves all rights to the Materials not granted expressly in these Terms.
- 7.2. Feedback. If you choose to provide input and suggestions regarding problems with or proposed modifications or improvements to the Plume Cloud Services ("Feedback"), then you hereby grant Plume an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to exploit the Feedback in any manner and for any purpose, including to improve the Plume Cloud Services and create other products and services.
8. Prohibited Conduct.
BY USING THE PLUME CLOUD SERVICES YOU AGREE NOT TO:
- 8.1. use the Plume Cloud Services for any illegal purpose or in violation of any local, state, national, or international law;
- 8.2. violate, or encourage others to violate, any right of a third party, including by infringing or misappropriating any third party intellectual property right;
- 8.3. interfere with security-related features of the Plume Cloud Services, including by: (i) disabling or circumventing features that prevent or limit use or copying of any content; or (ii) reverse engineering or otherwise attempting to discover the source code of any portion of the Plume Cloud Services except to the extent that the activity is expressly permitted by applicable law;
- 8.4. interfere with the operation of the Plume Cloud Services or any user’s enjoyment of the Plume Cloud Services, including by: (i) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (ii) making any unsolicited offer or advertisement to another user of the Plume Cloud Services; (iii) collecting personal information about another user or third party without consent; or (iv) interfering with or disrupting any network, equipment, or server connected to or used to provide the Plume Cloud Services;
- 8.5. perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation, accessing any other Plume Cloud Services account without permission, or falsifying your age or date of birth;
- 8.6. sell or otherwise transfer the access granted under these Terms or any Materials (as defined in Section 1) or any right or ability to view, access, or use any Materials; or
- 8.7. attempt to do any of the acts described in this Section 8, or assist or permit any person in engaging in any of the acts described in this Section 8.
9. Third Party Terms
- 9.1. Third Party Sites and Linked Websites. Plume may provide tools through the Plume Cloud Services that enable you to export information, including User Content, to third party services, including through features that allow you to link your account on Plume with an account on the third party service, such as Twitter or Facebook, or through our implementation of third party buttons (such as "like" or "share" buttons). By using one of these tools, you agree that Plume may transfer that information to the applicable third party service. Third party services are not under Plume’s control, and, to the fullest extent permitted by law, Plume is not responsible for any third party service’s use of your exported information. The Plume Cloud Services may also contain links to third party websites. Linked websites are not under Plume's control, and Plume is not responsible for
10. User Content
- 10.1. User Content Generally. Certain features of the Plume Cloud Services may permit users to upload content to the Plume Cloud Services, including messages, reviews, photos, video, images, folders, data, text, and other types of works ("User Content") and to publish User Content on the Plume Cloud Services. You retain any copyright and other proprietary rights that you may hold in the User Content that you post to the Plume Cloud Services.
- 10.2. Limited License Grant to Plume. By providing User Content to or via the Plume Cloud Services, you grant Plume a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid right and license (with the right to sublicense) to host, store, transfer, display, perform, reproduce, modify for the purpose of formatting for display, and distribute your User Content, in whole or in part, in any media formats and through any media channels now known or hereafter developed. For information regarding our use of data we collect, please refer to our Privacy Policy .
- 10.3. Limited License Grant to Other Users. By providing User Content to or via the Plume Cloud Services to other users of the Plume Cloud Services, you grant those users a non-exclusive license to access and use that User Content as permitted by these Terms and the functionality of the Plume Cloud Services.

10.4. User Content Representations and Warranties. Plume disclaims any and all liability in connection with User Content. You are solely responsible for your User Content and the consequences of providing User Content via the Plume Cloud Services. By providing User Content via the Plume Cloud Services, you affirm, represent, and warrant that:
- a. you are the creator and owner of the User Content, or have the necessary licenses, rights, consents, and permissions to authorize Plume and users of the Plume Cloud Services to use and distribute your User Content as necessary to exercise the licenses granted by you in this Section, in the manner contemplated by Plume, the Plume Cloud Services, and these Terms;
- b. your User Content, and the use of your User Content as contemplated by these Terms, does not and will not: (i) infringe, violate, or misappropriate any third party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (iii) cause Plume to violate any law or regulation; and
- c. your User Content could not be deemed by a reasonable person to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate.
- 10.5. User Content Disclaimer. We are under no obligation to edit or control User Content that you or other users post or publish, and will not be in any way responsible or liable for User Content. Plume may, however, at any time and without prior notice, screen, remove, edit, or block any User Content that in our sole judgment violates these Terms or is otherwise objectionable. You understand that when using the Plume Cloud Services you will be exposed to User Content from a variety of sources and acknowledge that User Content may be inaccurate, offensive, indecent, or objectionable. You agree to waive, and do waive, any legal or equitable right or remedy you have or may have against Plume with respect to User Content. If notified by a user or content owner that User Content allegedly does not conform to these Terms, we may investigate the allegation and determine in our sole discretion whether to remove the User Content, which we reserve the right to do at any time and without notice. For clarity, Plume does not permit copyright-infringing activities on the Plume Cloud Services.
- 10.6. Monitoring Content. Plume does not control and does not have any obligation to monitor: (a) User Content; (b) any content made available by third parties; or (c) the use of the Plume Cloud Services by its users. You acknowledge and agree that Plume reserves the right to, and may from time to time, monitor any and all information transmitted or received through the Plume Cloud Services for operational and other purposes. If at any time Plume chooses to monitor the content, Plume still assumes no responsibility or liability for content or any loss or damage incurred as a result of the use of content. During monitoring, information may be examined, recorded, copied, and used in accordance with our Privacy Policy.
11. Digital Millennium Copyright Act.
- 11.1. DMCA Notification. We comply with the provisions of the Digital Millennium Copyright Act applicable to Internet service providers (17 U.S.C. §512, as amended). If you have an intellectual property rights-related complaint about material posted on the Plume Cloud Services, you may contact our Designated Agent at the following address:Copyright Agent Plume Design, Inc. 290 S. Any notice alleging that materials hosted by or distributed through the Plume Cloud Services infringe intellectual property rights must comply include the following information:
- a. an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other right being infringed;
- b. a description of the copyrighted work or other intellectual property that you claim has been infringed;
- c. a description of the material that you claim is infringing and where it is located on the Plume Cloud Services;
- d. your address, telephone number, and email address;
- e. a statement by you that you have a good faith belief that the use of the materials on the Plume Cloud Services of which you are complaining is not authorized by the copyright owner, its agent, or the law; and
- f. a statement by you that the above information in your notice is accurate and that, under penalty of perjury, you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.
- 11.2 Repeat Infringers. We will promptly terminate without notice the accounts of users that we determine by are "repeat infringers". A repeat infringer is a user who has been notified of infringing activity more than twice or has had user content (e.g., Comments) removed from the Plume Cloud Services more than twice.
12. Indemnity. To the fullest extent permitted by law, you are responsible for your use of the Plume Cloud Services, and you will defend and indemnify Plume and its officers, directors, employees, consultants, affiliates, subsidiaries and agents (together, the "Plume Entities") from and against every claim brought by a third party, and any related liability, damage, loss, and expense, including reasonable attorneys’ fees and costs, arising out of or connected with: (a) your unauthorized use of, or misuse of, the Plume Cloud Services; (b) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (c) your violation of any third party right, including any intellectual property right or publicity, confidentiality, other property, or privacy right; or (d) any dispute or issue between you and any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of those claims.
13. Disclaimers; No Warranties THE PLUME CLOUD SERVICES AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE PLUME CLOUD SERVICES ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS. Plume DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE PLUME CLOUD SERVICES AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE PLUME CLOUD SERVICES, INCLUDING: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; AND (B) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE. Plume DOES NOT WARRANT THAT THE PLUME CLOUD SERVICES OR ANY PORTION OF THE PLUME CLOUD SERVICES, OR ANY MATERIALS OR CONTENT OFFERED THROUGH THE PLUME CLOUD SERVICES, WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND Plume DOES NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE PLUME CLOUD SERVICES OR Plume ENTITIES OR ANY MATERIALS OR CONTENT AVAILABLE THROUGH THE PLUME CLOUD SERVICES WILL CREATE ANY WARRANTY REGARDING ANY OF THE Plume ENTITIES OR THE PLUME CLOUD SERVICES THAT IS NOT EXPRESSLY STATED IN THESE TERMS. WE ARE NOT RESPONSIBLE FOR ANY DAMAGE THAT MAY RESULT FROM THE PLUME CLOUD SERVICES AND YOUR DEALING WITH ANY OTHER PLUME CLOUD SERVICES USER. YOU UNDERSTAND AND AGREE THAT YOU USE ANY PORTION OF THE PLUME CLOUD SERVICES AT YOUR OWN DISCRETION AND RISK, AND THAT WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM OR MOBILE DEVICE USED IN CONNECTION WITH THE PLUME CLOUD SERVICES) OR ANY LOSS OF DATA, INCLUDING USER CONTENT.
THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. Plume does not disclaim any warranty or other right that Plume is prohibited from disclaiming under applicable law.
14. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE PLUME ENTITIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE PLUME CLOUD SERVICES OR ANY MATERIALS OR CONTENT ON THE PLUME CLOUD SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY Plume ENTITY HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGE.
EXCEPT AS PROVIDED IN SECTION 31 AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE Plume ENTITIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE PLUME CLOUD SERVICES OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO PLUME FOR ACCESS TO AND USE OF THE PLUME CLOUD SERVICES IN THE 12 MONTHS PRIOR TO THE EVENT OR CIRCUMSTANCE GIVING RISE TO CLAIM (but not including the purchase price for any PRODUCTS OR SUBSCRIPTION SERVICES); OR (B) $100.
EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS INTENDED TO AND DOES ALLOCATE THE RISKS BETWEEN THE PARTIES UNDER THESE TERMS. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS. THE LIMITATIONS IN THIS SECTION 26 WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
15. Dispute Resolution and Arbitration.
- 15.1. Generally. In the interest of resolving disputes between you and Plume in the most expedient and cost effective manner, and except as described in Section 29, you and Plume agree that every dispute arising in connection with these Terms will be resolved by binding arbitration. Arbitration is less formal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, may allow for more limited discovery than in court, and can be subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. This agreement to arbitrate disputes includes all claims arising out of or relating to any aspect of these Terms, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of whether a claim arises during or after the termination of these Terms. YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND Plume ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
- 15.2. Exceptions. Despite the provisions of Section 28, nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through the applicable federal, state, or local agency if that action is available; (c) seek injunctive relief in a court of law in aid of arbitration; or (d) to file suit in a court of law to address an intellectual property infringement claim.
- 15.3. Arbitrator. Any arbitration between you and Plume will be settled under the Federal Arbitration Act and administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (collectively, "AAA Rules") as modified by these Terms. The AAA Rules and filing forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by contacting Plume. The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this binding arbitration agreement.
- 15.4. Notice of Arbitration; Process. A party who intends to seek arbitration must first send a written notice of the dispute to the other party by certified U.S. Mail or by Federal Express (signature required) or, only if that other party has not provided a current physical address, then by electronic mail ("Notice of Arbitration"). Plume's address for Notice is: Plume Legal, 290 S. California Ave #200, Palo Alto, CA 94306. The Notice of Arbitration must: (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought ("Demand"). The parties will make good faith efforts to resolve the claim directly, but if the parties do not reach an agreement to do so within 30 days after the Notice of Arbitration is received, you or Plume may commence an arbitration proceeding. All arbitration proceedings between the parties will be confidential unless otherwise agreed by the parties in writing. During the arbitration, the amount of any settlement offer made by you or Plume must not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any. If the arbitrator awards you an amount higher than the last written settlement amount offered by Plume in settlement of the dispute prior to the award, Plume will pay to you the higher of: (i) the amount awarded by the arbitrator; or (ii) $10,000.
- 15.5. Fees If you commence arbitration in accordance with these Terms, Plume will reimburse you for your payment of the filing fee, unless your claim is for more than $10,000, in which case the payment of any fees will be decided by the AAA Rules. Any arbitration hearing will take place at a location to be agreed upon in Santa Clara, California, but if the claim is for $10,000 or less, you may choose whether the arbitration will be conducted: (a) solely on the basis of documents submitted to the arbitrator; (b) through a non-appearance based telephone hearing; or (c) by an in-person hearing as established by the AAA Rules in the county (or parish) of your billing address. If the arbitrator finds that either the substance of your claim or the relief sought in the Demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all fees will be governed by the AAA Rules. In that case, you agree to reimburse Plume for all monies previously disbursed by it that are otherwise your obligation to pay under the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator's ruling on the merits.
- 15.6. No Class Actions. YOU AND PLUME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Plume agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.
- 15.7. 30-Day Opt-Out Period If you do not wish to be bound by the arbitration and class-action waiver provisions in this Section 10, you must notify Plume in writing within 30 days of the date that you first accept these Terms (unless a longer period is required by applicable law). Your written notification must be mailed to Plume at the following address: Plume Legal, 290 S. California Ave #200, Palo Alto, CA 94306. Subject to Section 15.9 below, if you do not notify Plume in accordance with this Section 15.8, you agree to be bound by the arbitration and class-action waiver provisions of these Terms, including such provisions in any Terms revised after the date of your first acceptance. Such notification must include: (a) your name, (b) the email address associated with your Plume account, (c) your mailing address, and (d) a statement that you do not wish to resolve disputes with Plume through arbitration. This notification affects these Terms only; if you previously entered into other arbitration agreements with Plume or enter into other such agreements in the future, your notification that you are opting out of the arbitration provision in these Terms shall not affect the other arbitration agreements between you and Plume.
- 15.8. Modifications to this Arbitration Provision If Plume makes any future change to this arbitration provision, other than a change to Plume’s address for Notice of Arbitration, you may reject the change by sending us written notice within 30 days of the change to Plume’s address for Notice of Arbitration, in which case your account with Plume will be immediately terminated and this arbitration provision, as in effect immediately prior to the changes you rejected will survive.
- 15.9. Enforceability. If Section 33 is found to be unenforceable or if the entirety of this Section 27 is found to be unenforceable, then the entirety of this Section 27 will be null and void and, in that case, the parties agree that the exclusive jurisdiction and venue described in Section 37 will govern any action arising out of or related to these Terms.
16. Miscellaneous
- 16.1. General Terms. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference into these Terms, are the entire and exclusive understanding and agreement between you and Plume regarding your use of the Plume Cloud Services. You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice or consent. The failure to require performance of any provision will not affect our right to require performance at any other time after that, nor will a waiver by us of any breach or default of these Terms, or any provision of these Terms, be a waiver of any subsequent breach or default or a waiver of the provision itself. Use of section headers in these Terms is for convenience only and will not have any impact on the interpretation of any provision. Throughout these Terms the use of the word "including" means "including but not limited to". If any part of these Terms is held to be invalid or unenforceable, the unenforceable part will be given effect to the greatest extent possible, and the remaining parts will remain in full force and effect.
- 16.2. Governing Law. These Terms are governed by the laws of the State of California without regard to conflict of law principles. You and Plume submit to the personal and exclusive jurisdiction of the state courts and federal courts located within Santa Clara, California, for resolution of any lawsuit or court proceeding permitted under these Terms. We operate the Plume Cloud Services from our offices in Palo Alto, California, and we make no representation that Materials included in the Plume Cloud Services are appropriate or available for use in other locations.
- 16.3. Privacy Policy. Please read Plume's Privacy Policy carefully for information relating to our collection, use, storage, disclosure of your personal information. The Plume Privacy Policy is incorporated by this reference into, and made a part of, these Terms.
- 16.4. Additional Terms Your use of the Plume Cloud Services is subject to all additional terms, policies, rules, or guidelines applicable to the Plume Cloud Services or certain features of the Plume Cloud Services that we may post on or link to from the Plume Cloud Services (the "Additional Terms"). All Additional Terms are incorporated by this reference into, and made a part of, these Terms.
- 16.5. Consent to Electronic Communications. By using the Plume Cloud Services, you consent to receiving certain electronic communications from us as further described in our Privacy Policy. Please read our Privacy Policy to learn more about our electronic communications practices. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing.

- 16.7. Notice to California Residents. If you are a California resident, under California Civil Code Section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at (800) 952-5210 in order to resolve a complaint regarding the Plume Cloud Services or to receive further information regarding use of the Plume Cloud Services.
- 16.8 Notice Regarding Apple. This Section 43 only applies to the extent you are using our mobile application on an iOS device. You acknowledge that these Terms are between you and Plume only, not with Apple Inc. ("Apple"), and Apple is not responsible for the Plume Cloud Services or the content thereof. Apple has no obligation to furnish any maintenance and support services with respect to the Plume Cloud Services. If the Plume Cloud Services fail to conform to any applicable warranty, you may notify Apple and Apple will refund any applicable purchase price for the mobile application to you; and, to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the Plume Cloud Services. Apple is not responsible for addressing any claims by you or any third party relating to the Plume Cloud Services or your possession and/or use of the Plume Cloud Services, including: (a) product liability claims; (b) any claim that the Plume Cloud Services fails to conform to any applicable legal or regulatory requirement; or (c) claims arising under consumer protection or similar legislation. Apple is not responsible for the investigation, defense, settlement and discharge of any third party claim that the Plume Cloud Services and/or your possession and use of the Plume Cloud Services infringe a third party’s intellectual property rights. You agree to comply with any applicable third party terms when using the Plume Cloud Services. Apple and Apple’s subsidiaries are third party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third party beneficiary of these Terms. You hereby represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Plume Design, Inc. and its subsidiaries and affiliates (collectively, “Plume”, "we", "our" or "us") design products and Services that optimize Wi-Fi connectivity and provide visibility and control to connected devices on the Wi-Fi or wired network. This Privacy Policy ("Policy") explains how we collect, use, share, and safeguard your Personal Information. It also tells you about your rights and choices with respect to your Personal Information, and how you can contact us if you have any questions or concerns.
This Policy applies to the Plume products and services, including our websites, apps, devices and other software or hardware that we may offer, collectively referred to as our "Services". It only applies to the activities for which Plume is a "data controller" which means that Plume decides why and how Personal Information is processed. We may also process Personal Information as a "data processor" when providing services to our business customers. In that context we process Personal Information on their behalf and they determine why and how the Personal Information is processed. 1. Personal Information We Collect We collect Personal Information from various sources, which are described below. For the purpose of this Policy, "Personal Information" means any information relating to any identified or identifiable individual. Where applicable, we will indicate whether and why you must provide us with your Personal Information, as well as the consequences of failing to do so. If you do not provide your Personal Information, when requested, you may not be able to benefit from our Services if that information is necessary to provide you with them or if we are legally required to collect it.
a. Personal Information Provided by You
When you create a Plume account You must create a Plume account to set up your Plume network. When you create a Plume account, we ask for some Personal Information, including your name and email address. Your email address will be your Plume account user name, which you will need to use to log in to your account.
When you buy from our store
If you pre-order or purchase Plume products from our website, we request that you provide your name, email address, billing and delivery address, credit card information and any other information necessary to complete the transaction. We store this information so we can process your order through our fulfillment partner. If you are logged into your Plume account when you purchase something on our Site, we associate that order with your Plume account. We do not view or store your credit card information: this is handled by our third-party payment processor – Stripe – who will collect and process your credit card details until the delivery of Plume’s product.
When you sign up for our newsletter You may choose to submit your name and email address via a submission form located on our website. Your email address may be used to send you news about our or third party products, services and promotions. We may use one or more service providers to administer these messages, but we do not share your email address with any other third parties without your permission. Each marketing communication we send you will contain instructions permitting you to opt out of receiving future marketing communications.
When you contact us Whenever you contact Plume for help, we collect your name and email address along with additional information you provide in your request so that we can verify your account, assist you and improve our Services. If you contact us for support when already logged in to your account, the request form or e-mail may contain pre-populated account information, so you don’t have to type it manually. You may also contact Plume on public forums such as Twitter or Facebook; note that your communications will be public if you contact us through these channels.
Contests and giveaways Plume may offer opportunities to participate in contests, giveaways and other promotions. Any data you submit in connection with these activities will be treated in accordance with this Policy, unless the rules for those offers provide otherwise.
Surveys and beta tests Plume may also ask you to participate in surveys (processed by Plume or third parties) that help us understand your use of our Services and beta tests we conduct to test a new product or service. Any Personal Information we collect in that context will only be used in relation to that survey or beta test and as stated in any privacy notice provided to you in that context.
b. Information Collected via Automated Means
When you use Plume Wi-Fi Services To deliver the best Wi-Fi experience, we automatically collect some information when you use your Plume network such as:
- Information about your connected devices: This information includes the type of device you use, operating system version, user agent information, a sampling of DNS requests, device hostname, the nickname given to the device and the unique addresses of the device. This information is used to better identify the device to more accurately represent it in the Plume App and to provide more accurate security threat identification.
- Network and connectivity status: This information indicates the networking addresses of the device and system used to communicate with Plume and the Internet along with the operating statistics of the Wi-Fi and Internet connections.
- Your device and Plume data consumption from your devices, the Internet and Plume system interfaces. We collect this information including current and historical data transfer speeds and data amount consumed to understand your network bandwidth and the devices that are consuming network resources.
- Plume Services statistics: We collect certain information to help us create statistics and optimize our Services. Such information includes your ISP name and IP address, ISP speeds and outages, Wi-Fi operating environment, mobility of devices within Plume, and Plume App usage stats (e.g., number of features used or screen views). We also collect log information such as messages from the Plume pods regarding Plume connected devices, device inventory data, and software and hardware versions.
- Safety controls and security features: Safety controls and security features require the monitoring of device network traffic like source and destination traffic headers, IP addresses, ports and DNS requests. We use this information to protect home devices from contacting malicious Internet locations or websites and content that has been identified as inappropriate by Plume in accordance with the content filters set by the Plume App user, prevent them from being hacked, app reporting and analytics, and to identify device behavior that may indicate an anomaly or attack, when the security feature is On. The safety controls and security features can be turned Off for some or all home devices, which will turn off the data collection. If you are using the WiFi of someone while the safety controls and security features are On, note that the user of the Plume App may link the activity on your device to you, and see in the Plume App information about your use of the WiFi, such as whether your device is currently connected to the WiFi, since when it is connected, a blocked domain name that you tried to access, and the time when you tried to access it.
- Crash reports: We collect crash reports for both the Plume Software and the Plume App. These reports can include information such as the type of crash, the software version you are running and the OS version of the device running the Plume App.
When you visit our websites and apps or open our emails
Plume collects industry standard data from everyone who visits our websites and apps – even if you don’t have a Plume account. We and our third-party partners analyze log file information and other data collected through cookies, web beacons, and similar technologies. Cookies are small data files stored on your hard drive by a website. We use session cookies to keep you logged in while you use features of our website; these disappear after you close your browser. We also use persistent cookies, which stay in your browser and allow us to recognize you when you return to the website. In some of our email messages, we use a "click-through URL" linked to content on our website to help us measure the effectiveness of our customer communications. We collect certain information via cookies, including your browser type, operating system, domains, IP address, the URL of the page that referred you, referring/exit pages, the different actions you performed, such as page views, how you interact with our Services and with third-party links, traffic and usage trends. Below is an overview of the purposes for which we and third parties process this information.
- Functionality. Some cookies are strictly necessary to make our websites or apps available to you and you cannot use them without this type of cookie. - Advertising. We allow third-party advertising partners to use cookies on our website to collect information about your browsing activities over time and across websites. We also work with these third-party advertising partners to market our services to you on other websites, apps and online services. For example, we use advertising services provided by third-party ad partners, such as Google Display Network and Google Analytics Demographics. Through a process called "retargeting," each service places a cookie on your browser when you visit our website so that they can identify you and serve you ads on other websites around the web based on your browsing activity.
- Third-party content. Our website may contain links to other websites operated by third parties and may include social media features such as Facebook and Twitter buttons (such as "Like," "Tweet" or "Pin"). These third-party websites may collect information about you if you click on a link and the social media websites may automatically record information about your browsing behavior every time you visit a website that has a social media button. Your interactions with these features are governed by those third parties’ privacy policies, not by this Policy. We do not control what Personal Information these third parties collect. 2. How We Use Personal Information
We process your Personal Information for the following purposes:
- To operate and provide you with our Services and fulfill our contract with you, for example if you make a purchase from us or otherwise use our Services. This may include verifying your identity, taking payments, communicating with you, providing customer Services and arranging the delivery or other provision of products and services.
To enable our business in accordance with our legitimate interests, in particular:
- we monitor use of our Services and may use your Personal Information to help us analyze, troubleshoot, protect, improve and further develop our Services and other products and services;
- we may send you marketing messages about our or third party products and services;
- we may use your Personal Information to tailor our Services to you;
- we may use your Personal Information to invite you to take part in market research and testing of new features or products and to conduct these activities;
- we may de-identify data about your use of our Services to create statistical analysis and aggregated reports to identify trends;
- we may use your Personal Information to prevent fraud (e.g., if you provide a credit or debit card, we may use third parties to check the validity of the sort code, account number and card number you submit); and
- we may monitor any customer account to enforce the Plume Terms of Use and to prevent, investigate and/or report security incidents, crime, fraud or misrepresentation, all in accordance with applicable law.
- With your consent, where appropriate or required by applicable law, such as for certain marketing activities and advertising practices.
- To comply with applicable laws and protect our business interests and legal rights in connection with legal claims, compliance, regulatory and investigative purposes. For example, we may access, use, preserve, transfer, or disclose, at any time, your Personal Information as reasonably necessary to: (1) comply with any applicable law, regulation, subpoena, legal process or litigation, or respond to any governmental requests or regulatory investigation and to cooperate with law enforcement, if we believe such action is required or permitted by law; (2) enforce this Policy or the Plume Terms of Use including investigating any potential violations; (3) protect the safety, integrity, rights, or security of our users, our Services or equipment, or any third party; or (4) detect, prevent, or otherwise address fraud, security, or technical issues related to our Services or those of our business customers.
- To provide our Services to our business customers, on whose behalf we may process Personal Information. To learn more about the processing of your Personal Information in this context, please refer to the privacy policy of the relevant business customer.
3. How We Disclose Your Personal Information
We do not sell or otherwise disclose your Personal Information for purpose unrelated to the delivery of Plume products and services, unless otherwise described in this Policy. We may share your Personal Information under the following circumstances:
- With our affiliates and subsidiaries, such as Plume’s entities in the U.S., Poland, Slovenia, Switzerland and India.
- With vendors that provide us with services and process some Personal Information on our behalf (e.g., for order fulfillment, email management, payment processing, etc.). These companies are contractually obligated to safeguard any Personal Information they receive from us.
- We may share Personal Information with third parties with your consent. For example, you may let us share Personal Information with others for marketing uses, authorize a third party web client or application to access your account, or ask us to share your feedback with a business.
- We may share some Personal Information such as your IP address, unique device identifiers and the name of your ISP with our partner Ookla so that Ookla can run a speedtest. For further information on how this information may be processed by Ookla and to see Ookla’s contact details, please see Ookla's privacy policy at http://www.speedtest.net/privacy.
- We may de-identify and aggregate your Personal Information to share it with partners and the public in a variety of ways, such as by providing research reports about Wi-Fi usage. When we provide this information, we perform appropriate procedures so that the data does not identify you and we contractually prohibit recipients of the data from trying to re-identify you.
- If we believe that disclosure is reasonably necessary to comply with a law, regulation, valid legal process (e.g., subpoenas or warrants served on us), or governmental or regulatory request, to enforce or apply the Terms of Use, to protect the security or integrity of the Plume Services, and/or to protect the legitimate interests, rights, property, or safety of Plume, its employees, users, or others. If we are going to release your data, we will do our best to provide you with notice in advance by email, unless we are prohibited by law from doing so.
- We may share or transfer Personal Information as part of a business deal such as the financing, sale, merger, bankruptcy, sale of assets or reorganization of our company. We will notify you if a different company will receive your Personal Information and the promises in this Policy will apply to your data as transferred to the new entity.
We may also share Personal Information with our business customers when we process it on their behalf.
4. Data Retention take measures to retain your Personal Information for the period necessary to fulfill the purposes outlined in this Policy unless a longer retention period is required or permitted by law. Please note that we have a variety of obligations to retain your Personal Information, including to ensure that transactions can be appropriately processed, settled, refunded or charged-back, to help our service providers handle their obligations, and to comply with laws and regulations. Accordingly, we may retain your Personal Information even after you’ve closed your Plume Account to meet our obligations. When determining the retention period, we take into account various criteria, such as the type of products and services requested by or provided to you, the nature and length of our relationship with you, possible re-enrolment with our Services, the impact on the Services we provide to you if we delete some information from or about you, mandatory retention periods provided by law and the statute of limitations. For example, we keep information associated to customers who returned our products or canceled their subscription up to 13 months.
5. Children’s Privacy The U.S. Children’s Online Privacy and Protection Act (COPPA) regulates online collection of information from persons under the age of 13. Plume’s services are not directed to children, and Plume does not knowingly collect information from children under the age of 13. If you learn that a child has provided us with Personal Information in violation of this Policy, then you may alert us at privacy@plume.com.
6. Data Security Plume uses a combination of technical and administrative security controls to maintain the security of your Personal Information and protect it against accidental or unlawful destruction, accidental loss, unauthorized alteration, unauthorized disclosure or access, misuse, and any other unlawful form of processing of the Personal Information in our possession. We use commercially reasonable physical, administrative, and technological methods to transmit your Personal Information securely including HTTPS, TLS protocol, AES and RSA data encryption. Your Personal Information is stored securely using Amazon’s S3 cloud Services. However, Plume cannot guarantee that unauthorized third parties will never be able to defeat our security measures and use your Personal Information for improper purposes. In the event that any information under our control is compromised as a result of data breach, we will take reasonable steps to investigate the situation and, where appropriate or required by law, notify those individuals whose information may have been compromised and take other steps, in accordance with any applicable laws and regulations.
7. Your Rights and Choices Depending on your country, you may have certain rights regarding the Personal Information we maintain about you and certain choices about what Personal Information we collect from you, how we use it, and how we communicate with you:
- Marketing opt out. You can opt-out of receiving regular summaries, contests, giveaways, surveys and promotional emails by following the instructions contained in our marketing communications. Opting-out of these emails will not end transmission of important services-related emails that are required to use our Services.
- Account deactivation. You can deactivate your Plume account at any time by contacting Customer Support.
- Opt out from cookies. WHAT THIS LIMITED WARRANTY COVERS; PERIOD OF COVERAGE >Plume Design, Inc. (" Plume "), 290 S. California Ave #200, Palo Alto, 94306, California USA, warrants to the owner of the enclosed product that the product contained in this box ("Product") will be free from defects in materials and workmanship for a period of one (1) year from the date of delivery following the original retail purchase or for the period stipulated by the Plume membership Terms of Use ( https://discover.plume.com/legal ) that you signed up for when you purchased the Product (the "Warranty Period"). If the Product fails to conform to this Limited Warranty during the Warranty Period, Plume will, at its sole discretion, either (a) repair or replace any defective Product or component; or (b) accept the return of the Product and refund the money actually paid by the original purchaser for the Product. Repair or replacement may be made with a new or refurbished product or components, at Plume’s sole discretion. If the Product or a component incorporated within is no longer available, Plume may, at Plume’s’ sole discretion, replace the Product with a similar product of similar function. This is your sole and exclusive remedy for breach of this Limited Warranty. Any Product that has either been repaired or replaced under this Limited Warranty will be covered by the terms of this Limited Warranty for the longer of (a) ninety (90) days from the date of delivery of the repaired Product or replacement Product, (b) the remaining Warranty Period. This Limited Warranty is transferable from the original purchaser to subsequent owners, but the Warranty Period will not be extended in duration or expanded in coverage for any such transfer.
TOTAL SATISFACTION RETURN POLICY. you are the original purchaser of the Product and you are not satisfied with this Product for any reason, you may return it in its original condition within thirty (30) days of the original purchase and receive a full refund.
WARRANTY CONDITIONS; HOW TO GET SERVICE IF YOU WANT TO CLAIM UNDER THIS LIMITED WARRANTY Before making a claim under this Limited Warranty, the owner of the Product must (a) notify Plume of the intention to claim by visiting https://support.plume.com/hc/de during the Warranty Period and providing a description of the alleged failure, and (b) comply with Plume’s return delivery instructions. Plume will have no warranty obligations with respect to a returned Product if it determines, in its reasonable discretion after examination of the returned Product, that the Product is an Ineligible Product (defined below). Plume will bear all costs of return delivery to owner and will reimburse any delivery costs incurred by the owner, except with respect to any Ineligible Product, for which owner will bear all delivery costs.

Sie allein sind für die Wahrung der Vertraulichkeit Ihres Nutzerkontos verantwortlich und übernehmen die Verantwortung für sämtliche Aktivitäten, die mittels Ihres Nutzerkontos vorgenommen werden. Falls Sie den Eindruck haben, dass Ihr Nutzerkonto nicht mehr geschützt ist, sind Sie verpflichtet, uns unverzüglich unter support_ch@plume.com zu informieren.
3. Bestellungen.
- 3.1. Produkte und Abonnementdienste können über den Shop bestellt werden, indem Sie auf die gewünschten Artikel klicken und anschließend den Anweisungen auf dem Bildschirm folgen. Bis zum Zeitpunkt der Absendung Ihrer Bestellung an uns durch Anklicken der Schaltfläche "Zahlung abschließen" auf der Checkout-Seite (jeweils eine "Bestellung") haben Sie die Möglichkeit, Eingabefehler in Ihrer Bestellung zu überprüfen und zu korrigieren. Nach der Bestellaufgabe erhalten Sie von uns eine Bestätigung über den Eingang Ihrer Bestellung und eine Bestellreferenznummer. Bitte beachten Sie, dass dies keine Annahme Ihrer Bestellung darstellt. Ihre Bestellung stellt ein Angebot an uns über den Kauf der in der Bestellung angegebenen Produkte oder Abonnementdienste dar.
- 3.2. Alle Bestellungen bedürfen unserer Annahme. Wir sind nicht verpflichtet, Ihre Bestellung anzunehmen und sind berechtigt, nach unserem Ermessen die Annahme einer Bestellung zu verweigern. Durch Anklicken der Schaltfläche "Zahlung abschließen" gehen Sie jedoch eine Zahlungsverpflichtung für die in der Bestellung aufgeführten Produkte und Abonnementdienste ein. Bei Annahme Ihrer Bestellung bestätigen wir dies durch Zusendung einer Versandbestätigung ("Bestellbestätigung").
- 3.3. Der Vertrag zwischen Ihnen und uns über die in der Bestellung aufgeführten Produkte und Abonnementdienste ("Vertrag") kommt erst mit der Zusendung der Bestellbestätigung durch uns zustande. Vorbehaltlich Ziffer 3.4 (einschließlich unserer Rechte, Bestellungen, bei denen wir betrügerisches Verhalten vermuten, zu stornieren) sind wir nach Abschluss des Vertrages gesetzlich verpflichtet, Ihnen Produkte und Abonnementdienste in Übereinstimmung mit dem Vertrag zur Verfügung zu stellen. Der Vertrag umfasst nur Produkte und Abonnementdienste, die in der Bestellbestätigung ausdrücklich bestätigt wurden. Wir sind nicht verpflichtet, andere Produkte oder Abonnementdienste, die möglicherweise Teil Ihrer Bestellung waren, zu liefern bevor wir diese Produkte oder Abonnementdienste in einer gesonderten Bestellbestätigung bestätigt haben.
- 3.4. Wir werden ggf. die gekauften Mengen pro Person, pro Haushalt oder pro Bestellung beschränken oder stornieren. Diese Beschränkungen können Bestellungen umfassen, die unter demselben Nutzerkonto, unter Angabe derselben Kreditkarte oder Rechnungs- und/oder Lieferadresse aufgegeben werden. Für den Fall, dass wir eine Änderung oder Stornierung einer Bestellung vornehmen, werden wir ggf. versuchen, Sie durch Kontaktaufnahme unter der von Ihnen zum Zeitpunkt der Bestellung angegebenen E-Mail-Adresse und/oder Rechnungsadresse/Telefonnummer zu benachrichtigen. Wir behalten uns das Recht vor, Bestellungen zu beschränken oder zu untersagen, die dem Anschein nach von Händlern, Wiederverkäufern oder Vertriebshändlern aufgegeben werden oder bei denen wir betrügerisches Verhalten vermuten. Wir behalten uns das Recht vor, sind jedoch nicht verpflichtet, den Verkauf unserer Produkte oder Abonnementdienste auf eine Person, ein Gebiet oder einen Rechtsraum zu beschränken, soweit dies durch lokale und EU-Vorschriften zulässig ist. Wir werden dieses Recht ggf. im Einzelfall ausüben. Wir behalten uns das Recht vor, die Anzahl der von uns angebotenen Produkte oder Abonnementdienste zu beschränken. Wir behalten uns das Recht vor, Produkte oder Abonnementdienste jederzeit einzustellen. Sämtliche auf dieser Website unzulässigerweise abgegebenen Angebote für Produkte oder Abonnementdienste sind unwirksam.
4. Zahlungsbedingungen.
- 4.1. Preis. Die Preise für Produkte und Abonnementdienste sind die im Shop jeweils angegebenen Preise. Alle Preise verstehen sich inklusive Mehrwertsteuer. Die Versandkosten (falls zutreffend) werden im Shop zum Zeitpunkt der Bestellung ausdrücklich ausgewiesen. Preise und Versandkosten können sich jederzeit ändern, Änderungen haben jedoch keinen Einfluss auf Bestellungen, für die wir Ihnen bereits eine Bestellbestätigung geschickt haben. Trotz unserer Bemühungen kann es jederzeit vorkommen, dass einige der im Shop aufgeführten Produkte oder Abonnementdienste falsch bepreist sind. In der Regel überprüfen wir die Preise als Teil unserer Versandabwicklung, damit wir Ihnen einen geringeren Betrag in Rechnung stellen können, falls der korrekte Preis eines Produkts oder Abonnementdienstes unter dem angegebenen Preis liegt. Übersteigt der korrekte Preis eines Produkts oder eines Abonnementdienstes den im Shop angegebenen Preis, werden wir uns nach unserem Ermessen entweder mit Ihnen in Verbindung setzen, bevor wir das Produkt versenden oder die Abonnementdienste aktivieren, oder Ihre Bestellung zurückweisen und Sie über eine solche Zurückweisung informieren.

4.2. Zahlung.
- a. Die Zahlung der Käufe von Produkten oder Abonnementdiensten, die in unserem Shop angeboten werden, muss per Kredit- oder Debitkarte auf der Checkout-Seite erfolgen. Wir akzeptieren Zahlungen mit den gängigsten Kredit- oder Debitkarten. Durch die Angabe einer Kreditkarte oder einer anderen von Plume akzeptierten Zahlungsmethode versichern und gewährleisten Sie, dass Sie berechtigt sind, die angegebene Zahlungsmethode zu nutzen, und dass Sie uns (oder unseren externen Zahlungsdienstleister) bevollmächtigen, diese mit dem Gesamtbetrag Ihrer Bestellung zu belasten (einschließlich etwaiger anfallender Steuern und sonstiger Zusatzkosten). Bitte beachten Sie, dass Ihr Kreditkarteninstitut Ihnen möglicherweise Bearbeitungsgebühren berechnet. Plume übernimmt hierfür keine Verantwortung. Bei Zahlung per Kreditkarte kann Plume vor Ihrem Kauf eine Vorabautorisierung anfordern, um die Gültigkeit der Kreditkarte und die ausreichende Verfügbarkeit der zur Deckung Ihres Kaufs benötigten Mittel zu verifizieren. Der derzeitige externe Zahlungsdienstleister von Plume ist Stripe. Für im Shop getätigte Zahlungen gelten die hier abrufbaren Geschäftsbedingungen von Stripe.
- b. Wenn die von Ihnen angegebene Zahlungsmethode nicht verifiziert werden kann, ungültig ist oder anderweitig nicht akzeptiert werden kann, wird Ihre Bestellung ggf. ausgesetzt oder storniert. Sie sind verpflichtet, alle auftretenden Probleme zu beseitigen, um Ihre Bestellung fortzusetzen.
- c. Wenn Sie Ihre Zahlungsinformationen ändern oder aktualisieren möchten, können Sie dies jederzeit unter orders@plume.com tun.
5. Abonnementdienste.
- 5.1. Abonnementmodelle. Plume bietet für seine Abonnementdienste verschiedene Abonnementmodelle an. Mehr Informationen zu diesen Modellen, einschließlich Plume Mitgliedschaften, finden Sie hier.

5.2. Wiederkehrende Zahlungen.
- a. Mit der Aktivierung eines Abonnementsdienstes bevollmächtigen Sie Plume, alle anfallenden Beträge am oder vor dem Fälligkeitsdatum der anfallenden Beträge in regelmäßigen Abständen auf fortlaufender Basis bis zur Kündigung entweder der wiederkehrenden Zahlungen oder Ihres Nutzerkontos zu berechnen ("Abonnementgebühren"). Soweit in den besonderen Geschäftsbedingungen für einen Abonnementdienst nicht abweichend geregelt, ist das "Abonemmentsrechnungsdatum" für diesen Abonnementdienst das Datum, an dem Sie Ihr erstes Abonnement für den Abonnementdienst abschließen. Wie bei allen Abonnementdiensten wird Ihr Konto automatisch am Abonnementrechnungsdatum für den nächsten Abonnementzeitraum mit den Abonnementgebühren belastet. Das Abonnement wird fortgeführt, solange es nicht durch Sie oder uns gekündigt wird. Um eine Abbuchung der nächsten regelmäßigen Abonnementgebühr von Ihrem Konto zu verhindern, ist es erforderlich, Ihr Abonnement vor der Verlängerung zu kündigen. Wir belasten die von Ihnen bei der Registrierung angegebene Zahlungsmethode (oder eine andere Zahlungsmethode, sofern Sie Ihre Zahlungsinformationen ändern) mit der regelmäßigen Abonnementgebühr.

5.3. Widerruf des Abonnements.
- a. Sie haben in der Regel das Recht, eine Bestellung innerhalb von 14 Tagen nach dem Datum zu widerrufen, an dem wir Ihnen die Bestellbestätigung zusenden. Sie erkennen jedoch an, dass wir den Abonnementdienst ab dem vereinbarten Tag bereitstellen (was Sie durch die Abgabe Ihrer Bestellung von uns verlangen) und dass Sie, sofern der Abonnementdienst innerhalb der 14-tägigen Frist bereitgestellt wird, nicht mehr berechtigt sind, Ihre Meinung zu ändern und nach Bereitstellung zu widerrufen (oder Rückerstattung zu verlangen). Wenn Sie vor diesem Zeitpunkt (und innerhalb der 14-tägigen Frist) widerrufen, erhalten Sie die für den Abonnementdienst bezahlten Gebühren in Übereinstimmung mit unseren Rückerstattungsbedingungen (siehe unten) in voller Höhe zurückerstattet.

5.4. Kündigung des Abonnements.
- a. Sie können die Kündigung Ihres Abonnementdienstes jederzeit durch Kontaktaufnahme mit dem Plume Support unter support_ch@plume.com oder durch Einreichen Ihrer Anfrage hier veranlassen.
- b. Wenn Sie nicht die gesamten Abonnementgebühren für den gesamten Abonnementzeitraum im Voraus bezahlen (z.B. wenn Ihre Abonnementgebühren für einen Jahresvertrag monatlich zu entrichten sind) und Sie Ihren Abonnementdienst mehr als sechzig Tage nach dem Erwerb dieses Abonnementdienstes kündigen, erklären sich damit einverstanden, dass wir Ihnen die Abonnementgebühren für den nicht genutzten Teil des Abonnementzeitraums in Rechnung stellen können und verpflichten sich diese zu zahlen.
- 5.5. Säumige Nutzerkonten. Plume kann den Zugang zu den Abonnementdiensten, einschließlich der für die Abonnementdienste zu zahlenden Abonnementgebühren, für jedes Nutzerkonto, bei dem ein Betrag fällig, aber unbezahlt ist, aussetzen oder kündigen. Zusätzlich zu dem für den Abonnementdienst fälligen Betrag werden einem überfälligen Nutzerkonto Gebühren oder Kosten in Rechnung gestellt, die im Zusammenhang mit einer Rückbuchung oder Einziehung des unbezahlten Betrags, einschließlich der Einziehung der Abonnementgebühren entstehen.
6. Rückgabe von Produkten.
- 6.1. Falls Sie, aus irgeneinem Grund, das von Ihnen im Shop erworbene Produkt zurückgeben möchten, muss uns dies spätestens 30 Tage nach dem Datum der Lieferung des Produkts (die "Rückgabefrist") mitgeteilt werden. Diese Rückgabefrist schränkt die gesetzlichen Widerrufsrechte nicht ein. Um eine Rückgabe zu veranlassen, müssen Sie uns Ihre Entscheidung innerhalb der Rückgabefrist mitteilen, indem Sie sich an den Plume-Kundendienst wenden und Ihren Wunsch, das Produkt zurückzugeben, klar zum Ausdruck bringen sowie das auf unserer Website hier verfügbare Rücksendeformular ausfüllen und dieses Formular und andere Informationen, die wir angemessenerweise verlangen können, an den Plume-Kundendienst an support_ch@plume.com senden. Auch wenn es Ihr Recht auf Rückerstattung nicht beeinflusst, teilen Sie uns bitte mit, wann und auf welche Weise Sie das Produkt gekauft haben und aus welchem Grund Sie das Produkt zurückgeben. Der Plume-Kundendienst stellt Ihnen eine Rücksendebescheinigung ("RSB") zur Verfügung, die der Rücksendung an Plume beigefügt werden muss, damit Plume Ihre Sendung und die Absenderadresse zuordnen kann. Wenn Sie das Produkt außerhalb des Shops gekauft haben, wenden Sie sich für Rückgaben und Rückerstattungen bitte an den jeweiligen Händler, da Plume weder in der Lage noch verpflichtet ist, Rückgaben und/oder Rückerstattungen für Produkte zu bearbeiten, die nicht über den Shop gekauft wurden.
- 6.2. Sie sind verpflichtet, die Produkte in Ihrem Besitz mit angemessener Sorgfalt zu behandeln, bevor Sie eine Rückerstattung verlangen. Bei Nichteinhaltung dieser Verpflichtung haben wir ggf. das Recht, die Kosten etwaiger Verschlechterung (z.B. aufgrund Ihrer Nutzung des/der Produkte(s)) bis zur Höhe des Preises des/der Produkte(s) von der Ihnen zustehenden Rückerstattung abzuziehen.
- 6.3. Um eine Rückerstattung zu erhalten, müssen Sie Ihr Produkt (und alle mit dem Produkt gelieferten Werbematerialien) innerhalb von 14 Tagen nach dem Tag, an dem Sie den Plume-Kundendienst darüber informiert haben, dass Sie Ihr Produkt zurückgeben möchten, mit einer RSB zurücksenden. Sofern das Produkt nicht fehlerhaft ist oder von der Beschreibung abweicht, tragen Sie alle Kosten im Zusammenhang mit der Rücksendung des Produkts an uns (einschließlich der Deinstallation und der Kosten für die Rücksendung des Produkts an Plume), es sei denn wir fügen nach unserem Ermessen und aus Kulanzgründen Rücksendeetiketten bei. Wir erstatten Ihnen den Preis, den Sie für das Produkt bezahlt haben, zuzüglich der ursprünglichen Versandkosten. Wenn Sie ein Produktpaket (mehrere Produkte, die zusammen mit einem Preisnachlass verkauft werden) (ein "Paket") kaufen und nur einen Teil des Pakets zurückgeben, ziehen wir den gesamten Preisnachlass für das Paket von Ihrer Rückerstattung ab. Wenn Sie bei Ihrer Zahlung einen Promotionsrabatt oder sonstigen Nachlass erhalten haben, umfasst jede Rückerstattung nur den Betrag, den Sie tatsächlich bezahlt haben. Wir können den Betrag Ihrer Rückerstattung reduzieren, um eine nach unserem alleinigen Ermessen festgestellte Wertminderung des Produkts zu berücksichtigen, die durch Ihren Umgang mit dem Produkt in einer Weise verursacht wird, die über das für die Feststellung seiner Beschaffenheit, seiner Eigenschaften und seiner Funktionsweise erforderliche Maß hinausgeht (z.B. abseits von dem, was üblicherweise in einem Geschäft erlaubt wäre).
- 6.4. Wenn Sie eine Bestellung innerhalb von 14 Tagen nach dem Lieferdatum des Produkts widerrufen, werden wir die Ihnen zustehende Rückerstattung schnellstmöglich und in jedem Fall innerhalb von 14 Tagen nach Mitteilung des Widerrufs bearbeiten. In den übrigen Fällen werden wir die Ihnen zustehende Rückerstattung schnellstmöglich und in jedem Fall innerhalb von 30 Tagen nach Erhalt des zurückgegebenen Produkts bei Plume bearbeiten. Das Produkt kann nach Ablauf der 30- tägigen Frist nicht mehr zurückerstattet werden.
- 6.5. Wenn ein von Ihnen bestelltes Produkt beschädigt oder fehlerhaft an Sie geliefert wird oder einen Mangel aufweist, stehen Ihnen ggf. ein oder mehrere Rechtsbehelfe zur Verfügung, abhängig davon, zu welchem Zeitpunkt Sie uns über das Problem informieren und in Übereinstimmung mit Ihren gesetzlichen Ansprüchen. Wenn Sie der Meinung sind, dass ein Produkt beschädigt oder fehlerhaft geliefert wurde oder einen Mangel aufweist, müssen Sie uns schnellstmöglich, vorzugsweise schriftlich, unter Angabe Ihres Namens, Ihrer Adresse und Ihrer Bestellreferenznummer informieren. Keine der in dieser Ziffer aufgeführten Bestimmungen berührt Ihre gesetzlichen Ansprüche.
7. Weiterveräußerung; Eigentumsübertragung; Speditionsversand. Die im Shop getätigten Käufe richten sich ausschließlich an Endverbraucher und sind nicht zur Weiterveräußerung bestimmt. Das Eigentumsrecht für im Shop erworbene Produkte geht zum Zeitpunkt der Lieferung an die in der Bestellbestätigung angegebene Lieferadresse auf Sie über. Plume und/oder der Zusteller sind für jeden Verlust oder Schaden des Produkts verantwortlich, der während des Transports des Produkts von Plume an die in der Bestellbestätigung angegebene Lieferadresse entsteht. Zur Klarstellung: Plume übernimmt keine Verantwortung für Schäden, die durch oder während einer Speditionsbeförderung von der Lieferadresse auf der Bestellbestätigung zu einem anderen Ort entstehen. Sofern Plume Ersatzprodukte aufgrund von Schäden während des Transports an der Lieferadresse bereitstellt, ist Plume in keiner Weise verpflichtet, diese Ersatzprodukte an einen anderen Ort als die Lieferadresse zu liefern.
8. Versand und Lieferung. Die Produkte werden gemäß der in der Bestellbestätigung angegebenen Art und Weise und an die dort angegebene Adresse versandt. Ihre Bestellung wird bis zum in der Bestellbestätigung angegebenen Liefertermin oder, sofern kein Liefertermin angegeben ist, innerhalb von 30 Tagen ab dem Datum der Bestellbestätigung ausgeliefert, es sei denn, es liegen außerordentliche Umstände vor. Nicht angenommene Lieferungen werden an unser Lager zurückgeschickt. Es kann bis zu 45 Tage dauern, bis die zurückgeschickten Artikel als nicht angenommen identifiziert und zur Rückerstattung freigegeben werden.
9. Änderungen dieser Geschäftsbedingungen. Wir behalten uns das Recht vor, diese Geschäftsbedingungen fortlaufend und jederzeit zu ändern. Wir bitten Sie, diese Geschäftsbedingungen regelmäßig auf Änderungen zu überprüfen. Sollten sich durch eine Änderung dieser Geschäftsbedingungen Ihre Rechte oder Pflichten wesentlich ändern, kann es erforderlich sein, dass Sie diese Geschäftsbedingungen annehmen, um den Shop weiterhin nutzen zu können. Wesentliche Änderungen werden mit Ihrer Annahme der geänderten Geschäftsbedingungen wirksam. Unwesentliche Änderungen werden mit der Veröffentlichung wirksam. Sofern in dieser Ziffer 9 nicht ausdrücklich gestattet, können diese Geschäftsbedingungen nur durch eine schriftliche Vereinbarung geändert werden, die von bevollmächtigten Vertretern der Parteien dieser Geschäftsbedingungen unterzeichnet ist. Rechtsstreitigkeiten, die sich aus diesen Geschäftsbedingungen ergeben, werden auf Grundlage der jeweils zum Zeitpunkt des Entstehens des Rechtsstreits gültigen Fassung dieser Geschäftsbedingungen entschieden.
10. Haftungsausschlüsse; keine Gewährleistung.
- 10.1. Shop. Der Shop und alle Materialien und Inhalte, die über den Shop zugänglich sind, werden “wie gesehen” und “wie verfügbar” bereitgestellt. Plume übernimmt keine Gewährleistung jeglicher Art, weder ausdrücklich noch stillschweigend, in Bezug auf den Shop und alle Materialien und Inhalte, die über den Shop zugänglich sind, einschließlich: (a) der konkludenten Gewährleistung der Gebrauchstauglichkeit, der Eignung für einen bestimmten Zweck, des Eigentums, der ungestörten Nutzung oder der Nichtverletzung von Rechten; und (b) die Gewährleistung, die sich aus dem Geschäftsverkehr, der Nutzung oder dem Handel ergibt. Plume gewährleistet nicht, dass der Shop oder ein Teil des Shops oder Materialien oder Inhalte, die über den Shop angeboten werden, ohne Unterbrechung bereitstehen, sicher oder frei von Fehlern, Viren oder anderen schädlichen Komponenten sind und Plume gewährleistet nicht, dass eines der genannten Probleme behoben wird.
- 10.2. Gesetzlich beschränkte Gewährleistung. Alle im Shop gekauften Produkte und Abonnementdienste werden "wie gesehen" angeboten, sofern in der Beschränkten Gewährleistung oder, soweit zutreffend, in den besonderen Geschäftsbedingungen des Abonnementdienstes nichts anderes festgelegt ist. Im Zusammenhang mit Produkten sind Sie berechtigt, einen Anspruch gemäß diesen Geschäftsbedingungen, der Beschränkten Gewährleistung oder beidem geltend zu machen. Sie haben jedoch keinen Anspruch auf zweimalige Entschädigung bei gleichem Schaden. Um eine Rücksendung für Ihr Produkt im Rahmen der Beschränkten Gewährleistung zu veranlassen, wenden Sie sich bitte wie in der Beschränkten Gewährleistung beschrieben an Plume.
- 10.3. Gewährleistungspflichten. Abweichend von der Beschränkten Gewährleistung wird Plumes gesetzliche Gewährleistung für Sach- und Rechtsmängel wie folgt beschränkt:
- a. Abonnementdienste. Plume wird wirtschaftlich angemessene Anstrengungen unternehmen, um jegliche Abweichung ohne zusätzliche Kosten für Sie zu beheben, vorausgesetzt, Sie informieren Plume unverzüglich bei Bekanntwerden schriftlich über die spezifischen Einzelheiten der Abweichung. Sollten diese Anstrengungen erfolglos sein, sind Sie berechtigt, die Vereinbarung zu kündigen und eine Erstattung aller im Voraus bezahlten und nicht genutzten Abonnementgebühren für die entsprechenden Abonnementdienste zurückzuerhalten. Ihre gesetzlichen Ansprüche auf Rückerstattung der Abonnementgebühren beschränken sich in jedem Fall auf die Erstattung nach den Vorschriften zur ungerechtfertigten Bereicherung. Ihr Anspruch auf Schadenersatz im Rahmen von Ziffer 11 Absatz 2 bleibt hiervon unberührt.
- b. Produkte. Plume stellt Produkte zur Verfügung, die im Wesentlichen den Anforderungen der Beschränkten Gewährleistung entsprechen. Sollte das Produkt während des Gewährleistungszeitraums nicht dieser Beschränkten Gewährleistung entsprechen, wird Plume nach eigenem Ermessen entweder (a) ein mangelhaftes Produkt bzw. eine fehlerhafte Komponente reparieren oder ersetzen; oder (b) im Falle, dass Plumes Anstrengungen zur Beseitigung des Mangels fehlschlagen, den tatsächlich gezahlten oder fälligen Betrag zu mindern und (c) nach einer letzten Aufforderung durch Sie die Rückgabe des Produkts akzeptieren und den von Ihnen tatsächlich für das Produkt gezahlten Betrag zurückerstatten. Die Reparatur oder der Ersatz durch ein/e neue/s oder reparierte/s Produkt oder Komponente erfolgt nach Plumes eigenem Ermessen. Wenn das Produkt oder eine darin verbaute Komponente nicht mehr verfügbar ist, kann Plume das Produkt nach eigenem Ermessen durch ein vergleichbares Produkt mit vergleichbarer Funktion ersetzen.
- c. Gewährleistungszeitraum. Ihr Recht, Schadenersatz im Sinne der Ziffer 11.2 zu verlangen, bleibt unberührt. Sach- und Rechtsmängelansprüche verjähren nach Ablauf von 2 Jahren ab dem gesetzlich vorgesehenem Beginn der Verjährungsfrist. Dies gilt nicht in den Fällen der unbeschränkten Haftung nach Ziffer 11.2, in denen die gesetzlichen Verjährungsvorschriften uneingeschränkt gelten.
- 10.4. Beratung und Auskunft. Keine Beratung oder Auskunft, ob mündlich oder schriftlich, die Sie im Shop oder von den Plume Gesellschaften erhalten, oder Materialien oder Inhalte, die über den Shop verfügbar sind, begründen Gewährleistungspflichten für eine der Plume Gesellschaften oder den Shop, es sei denn dies ist ausdrücklich in diesen Geschäftsbedingungen festgelegt. Plume ist nicht verantwortlich für Schäden, die durch den Shop und Ihren Umgang mit anderen Nutzern des Shops ggf. entstehen. Sie sind sich bewusst und erklären sich damit einverstanden, dass Sie sämtliche Bereiche des Shops nach eigenem Ermessen und Risiko nutzen und dass Plume nicht verantwortlich ist für Schäden an Ihrem Eigentum (einschließlich Ihres in Verbindung mit dem Shop verwendeten Computersystems oder Ihrem Mobilgerät) oder für Verluste von Daten, einschließlich Nutzerinhalten.
- 10.5. Haftungsbeschränkung. Vorbehaltlich der Haftungsbeschränkung in Ziffer 11 nutzen Sie Produkte oder Abonnementdienste nach eigenem Ermessen und auf eigene Gefahr. Sie sind allein verantwortlich (und Plume übernimmt keine Verantwortung) für sämtliche Verluste, Verbindlichkeiten oder Schäden, die sich aus der Nutzung eines Produkts und/oder Abonnementdienstes ergeben, einschließlich Schäden oder Verluste an Ihrem Produkt, anderen mit dem Produkt verbundenen Peripheriegeräten, Computern, mobilen Geräten und sämtlichen anderen Gegenständen in Ihrem Zuhause.
11. Haftungsbeschränkung.
- 11.1. Haftungsbeschränkung. In Abweichung von der beschränkten Gewährleistung und vorbehaltlich der Regelung in der folgenden Ziffer ist die gesetzliche Haftung von Plume für Schadensersatz wie folgt beschränkt:
- a. Plume haftet der Höhe nach begrenzt auf den bei Vertragsschluss typischerweise vorhersehbaren Schaden für die leicht fahrlässige Verletzung wesentlicher Pflichten aus dem Schuldverhältnis (d.h. solcher Vertragspflichten, deren Erfüllung die ordnungsgemäße Durchführung der Vereinbarung überhaupt erst ermöglicht, deren Verletzung die Erreichung des Vertragszwecks gefährdet und auf deren Einhaltung Sie regelmäßig vertrauen, sog. "Kardinalpflichten");
- b. Plume haftet nicht für die leicht fahrlässige Verletzung nicht wesentlicher Pflichten aus dem Schuldverhältnis.
- 11.2. Gesetzliche Haftung. Die vorstehende Haftungsbeschränkung gilt nicht im Fall gesetzlich zwingender Haftung (insbesondere die Haftung nach dem Produkthaftungsgesetz), bei Übernahme einer Garantie oder vorsätzlich oder grob fahrlässig verursachten Schäden sowie für jede Art von vorsätzlich oder fahrlässig verursachten Personenschäden.
- 11.3. Mitwirkungspflicht. Sie sind verpflichtet, angemessene Maßnahmen zur Minderung und/oder Vermeidung von Schäden zu ergreifen, einschließlich ihrer Verpflichtung, regelmäßig Sicherungskopien von Daten anzufertigen und Sicherheitschecks durchzuführen (insbesondere zum Schutz oder zur Erkennung von Viren, Malware und anderen Schadprogrammen).
- 11.4. Anfängliche Mängel. Eine verschuldensunabhängige gesetzliche Haftung von Plume für anfängliche Sach- oder Rechtsmängel ist ausgeschlossen.
- 11.5. Plume Mitarbeiter. Soweit die Haftung von Plume beschränkt oder ausgeschlossen ist, gilt dies auch für die persönliche Haftung ihrer gesetzlichen Vertreter, Arbeitnehmer und Erfüllungsgehilfen.
12. Sonstiges.
- 12.1. Allgemeine Bedingungen. Diese Geschäftsbedingungen und alle anderen Vereinbarungen, die ausdrücklich durch diese Geschäftsbedingungen in Bezug genommen wurden, stellen die vollständige und ausschließliche Vereinbarung zwischen Ihnen und Plume über Ihre Nutzung des Shop zum Erwerb von Produkten und Abonnementdiensten dar. Sie sind nicht berechtigt, diese Geschäftsbedingungen oder Ihre Rechte aus diesen Geschäftsbedingungen ganz oder teilweise, kraft Gesetzes oder anderweitig ohne Plumes vorherige schriftliche Zustimmung abzutreten oder zu übertragen. Plume ist berechtigt, diese Geschäftsbedingungen jederzeit und ohne vorherige Zustimmung abzutreten. Unterlässt es Plume zu einem Zeitpunkt Erfüllung oder die Einhaltung der Bestimmungen einzufordern, bleibt Plumes Recht zu einem anderen Zeitpunkt Erfüllung zu verlangen unberührt. Der Verzicht auf die Verfolgung eines Verstoßes oder der Nichterfüllung dieser Geschäftsbedingungen gilt nicht als Verzicht auf die Verfolgung späterer Verstöße oder nachfolgender Nichterfüllung oder der jeweils entsprechenden Regelung. Die Verwendung von Überschriften in diesen Geschäftsbedingungen dient nur der Übersichtlichkeit und hat keinen Einfluss auf die Auslegung einer Bestimmung. In diesen Geschäftsbedingungen bezeichnet die Verwendung des Begriffs "einschließlich bzw. insbesondere" "einschließlich, aber nicht beschränkt auf". Sollte ein Teil dieser Geschäftsbedingungen für ungültig oder nicht durchsetzbar erklärt werden, wird der nicht durchsetzbare Teil in größtmöglichem Umfang durchgesetzt, und die übrigen Teile bleiben in vollem Umfang wirksam.
- 12.2. Anwendbares Recht. Diese Bedingungen unterliegen schweizer Recht.
- 12.3. Rechtsstreitigkeiten. Sie erklären sich damit einverstanden, die Streitigkeiten zwischen Ihnen und uns über diese Bedingungen ausschließlich durch die deutschen Gerichte zu regeln. Die europäische Online-Plattform für die Streitbeilegung: http://ec.europa.eu/consumers/odr/ bietet Informationen über alternative Streitbeilegungsverfahren, die ggf. von Interesse sein könnten.
- 12.4. Datenschutzrichtlinie. Bitte lesen Sie die Datenschutzrichtlinie von Plume sorgfältig durch, um Informationen über die Erhebung, Nutzung, Speicherung und Weitergabe Ihrer personenbezogenen Daten zu erhalten.
- 12.5. Zusätzliche Bestimmungen. Ihre Nutzung des Shops unterliegt allen zusätzlichen Bestimmungen, Richtlinien, Regelungen oder Leitlinien, die für den Shop oder bestimmte Funktionen des Shops gelten und die Plume veröffentlicht oder auf die Plume in dem Shop verlinkt (die "Zusätzlichen Bestimmungen").
- 12.6. Kontaktinformationen. Der Shop wird von Plume Design, Inc. mit Sitz in 290 S. California Ave #200, Palo Alto, CA 94306, bereitgestellt. Vereinbarung über die Plume Mitgliedschaft und Cloud Services

Diese Vereinbarung über die Plume Mitgliedschaft und Cloud Services wird zwischen Ihnen und Plume Design Inc. ("Plume") geschlossen und regelt Ihre Nutzung der Adaptive WiFi™-Dienste von Plume, der Homepass®-Dienste, der KI- Sicherheitsdienste, der damit verbundenen mobilen Anwendungen von Plume (die "Plume Cloud Services") und der für die Aktivierung und Nutzung dieser Dienste erforderlichen Plume Mitgliedschaftsabonnements ("Plume Mitgliedschaft"). Diese Vereinbarung über die Plume Mitgliedschaft und Cloud Services ist ein rechtsverbindlicher Vertrag zwischen Ihnen und Plume über Ihre Nutzung der Plume Cloud Services und Ihre Plume Mitgliedschaft.

DURCH ANKLICKEN VON "ICH AKZEPTIERE" ODER DURCH ANDERWEITIGE AKTIVIERUNG EINER PLUME MITGLIEDSCHAFT ODER DURCH ZUGRIFF AUF ODER NUTZUNG DER PLUME CLOUD SERVICES ERKLÄREN SIE SICH DAMIT EINVERSTANDEN, DASS SIE DIESE GESCHÄFTSBEDINGUNGEN GELESEN UND VERSTANDEN HABEN. ALS VORAUSSETZUNG FÜR DIE AKTIVIERUNG, DEN ZUGRIFF UND/ODER DIE NUTZUNG STIMMEN SIE ZU, AN DIE FOLGENDEN ALLGEMEINEN GESCHÄFTSBEDINGUNGEN ("GESCHÄFTSBEDINGUNGEN") GEBUNDEN ZU SEIN. FÜR DEN FALL, DASS SIE NICHT BERECHTIGT SIND ODER DEN GESCHÄFTSBEDINGUNGEN NICHT ZUSTIMMEN, SIND SIE NICHT BEFUGT, DIE PLUME MITGLIEDSCHAFT ODER DIE PLUME CLOUD SERVICES ZU NUTZEN. IHRE AKTIVIERUNG, IHR ZUGANG UND/ODER IHRE NUTZUNG DER PLUME MITGLIEDSCHAFT ODER DER PLUME CLOUD SERVICES BEGRÜNDET EINE VEREINBARUNG ZWISCHEN PLUME UND IHNEN, AN DIESE GESCHÄFTSBEDINGUNGEN GEBUNDEN ZU SEIN.
1. Allgemeines; Verhältnis zu anderen Vereinbarungen. Die Plume Cloud Services funktionieren in Verbindung mit Hardwareprodukten von Plume ("Plume Produkt(e)") und bestimmten Hardwareprodukten von Drittanbietern, die darauf ausgelegt sind, die Internetnutzung zu verbessern und den Nutzern mehr Kontrolle über ihre Internetnutzung zu geben, einschließlich durch die Funktionsweise als Adaptive WiFi™ System. Um auf die Plume Cloud Services zugreifen und diese nutzen zu können, ist eine aktive Plume Mitgliedschaft erforderlich (Siehe Ziffer 2). Diese Geschäftsbedingungen regeln Ihre Nutzung der Plume Cloud Services, Plume Produkte und Ihrer Plume Mitgliedschaft. Bei Kauf eines Plume Produkts und bei Abonnement einer Plume Mitgliedschaft gelten die Verkaufsbedingungen sowie, im Hinblick auf die Plume Produkte, die beschränkte Gewährleistung. Die in den Plume Produkten eingebettete Software (und alle damit verbundenen Software- Updates) ("Produktsoftware") wird lizenziert und unterliegt der Endnutzer- Lizenzvereinbarung. Nutzer interagieren mit und steuern die Plume Cloud Services über die Android- und iOS-Mobilanwendungen von Plume (die "Plume App"). Weitere Details zu den Eigenschaften und Funktionalitäten von Plume Cloud Services finden Sie in Ziffer 4.
2. Zugang und Nutzung.
- 2.1. Beschränkte Lizenz. Vorbehaltlich Ihrer uneingeschränkten und anhaltenden Einhaltung dieser Geschäftsbedingungen gewährt Ihnen Plume für die Dauer Ihrer Plume Mitgliedschaft, ausschließlich für Ihren persönlichen Gebrauch, eine beschränkte, nicht ausschließliche, nicht übertragbare, nicht unterlizenzierbare, widerrufliche, weltweite Lizenz um: (a) eine Kopie der Plume App, die Sie rechtmäßig bezogen haben (ob von Ihnen installiert, oder vom Gerätehersteller auf Ihrem mobilen Gerät vorinstalliert), auf einem mobilen Gerät zu installieren, das Sie besitzen oder über das Sie verfügen; und (b) die Plume Cloud Services im Rahmen Ihrer Plume Mitgliedschaft zu nutzen.
- 2.2. Lizenzeinschränkungen. Sofern und nur in dem Umfang, in dem eine solche Einschränkung nach anwendbarem Recht unzulässig ist, ist es Ihnen nicht gestattet: (a) die Plume Cloud Services zu reproduzieren, zu vertreiben, öffentlich zugänglich zu machen oder öffentlich auszuführen; (b) Änderungen an den Plume Cloud Services vorzunehmen; oder (c) sämtliche Eigenschaften der Plume Cloud Services, einschließlich Sicherheits- oder Kontrollmechanismen zu stören oder zu umgehen. Sofern Ihnen die Nutzung der Plume Cloud Services nach anwendbarem Recht untersagt ist, sind Sie nicht berechtigt, diese zu nutzen.

- 2.3. Nutzungsvoraussetzungen.
- a. Plume Mitgliedschaften. Um die Plume Cloud Services nutzen zu können, ist eine aktive Plume Mitgliedschaft erforderlich. Weitere Informationen zu den zusätzlichen Bedingungen für Plume Mitgliedschaften finden Sie unter Ziffer 3 (Plume Mitgliedschaften).
- b. Endgeräte; Software. Die Nutzung der Plume Cloud Services macht ggf. kompatible Geräte, Internetzugang, bestimmte Software (Gebühren können anfallen) und regelmäßige Updates erforderlich und wird ggf. von der Leistung der genannten Faktoren beeinflusst. Für bestimmte Vorgänge oder Funktionen ist möglicherweise die aktuellste Version der benötigten Software erforderlich. Sie erklären sich damit einverstanden, dass die Erfüllung dieser Voraussetzungen in Ihrer Verantwortung liegt.
- c. Nutzerkonten. Für den Zugriff auf einen Großteil der Funktionen der Plume Cloud Services ist die Erstellung eines Nutzerkontos erforderlich. Bei der Erstellung eines Nutzerkontos ist es ggf. erforderlich, dass Sie uns oder dem zuständigen Plume Partner einige Angaben zu Ihrer Person zur Verfügung stellen, wie z.B. Ihren Namen und Ihre E-Mail-Adresse. Sie bestätigen, dass die von Ihnen an uns übermittelten Informationen korrekt sind und dass Sie diese stets auf dem neuesten Stand halten werden. Bei der Registrierung werden Sie möglicherweise aufgefordert, ein Passwort zu vergeben. Sie sind verantwortlich für die Wahrung der Vertraulichkeit Ihres Nutzerkontos und dieses Passworts und tragen die alleinige Verantwortung für sämtliche Aktivitäten, die in Ihrem Nutzerkonto vorgenommen werden. Falls Sie den Eindruck haben, dass Ihr Nutzerkonto nicht mehr geschützt ist, sind Sie verpflichtet, uns unverzüglich unter support_ch@plume.com zu informieren. Plume behält sich das Recht vor, die Anzahl der Nutzerkonten, die von einem Gerät angelegt werden können, und die Anzahl der mit einem Nutzerkonto verbundenen Geräte zu begrenzen.
- d. Automatische Updates. Plume kann gelegentlich Patches, Bugfixes, Updates, Upgrades und weitere Anpassungen ("Updates) entwickeln, um die Leistung der Plume Cloud Services (einschließlich der Plume App) und/oder der Plume Produktsoftware zu verbessern. Diese werden ohne vorherige Ankündigung oder Zustimmung automatisch installiert. Sie erklären sich mit diesen automatischen Updates einverstanden. Sofern Sie solche Updates nicht wünschen, haben Sie die Möglichkeit, Ihr Nutzerkonto zu kündigen und die Nutzung der Plume Cloud Services und der Plume Produkte einzustellen. Wenn Sie ein zuvor erstelltes Nutzerkonto nicht kündigen, werden Sie automatisch Updates erhalten. Sie erkennen an, dass Sie möglicherweise dazu verpflichtet sind, Updates zu installieren, um die Plume Cloud Services und die Plume Produkte zu nutzen, und stimmen zu, alle Updates, die Plume bereitstellt, unverzüglich zu installieren. Die weitere Nutzung der Plume Cloud Services und der Plume Produkte stellt Ihr Einverständnis mit der Endnutzer-Lizenzvereinbarung in Bezug auf die aktualisierte Plume Produktsoftware dar, unter Berücksichtigung aller Änderungen und Aktualisierungen, die Plume an diesen Geschäftsbedingungen oder der Endnutzer-Lizenzvereinbarung im Laufe der Zeit vornimmt.
- e. Zuverlässigkeit der Dienste. Sie erkennen an, dass die Plume Cloud Services, einschließlich des Fernzugriffs und mobiler Benachrichtigungen, nicht fehlerfrei oder zu 100% zuverlässig und zu 100% verfügbar sind. Das ordnungsgemäße Funktionieren der Plume Cloud Services hängt unter anderem von der Datenübertragung über das WLAN-Netzwerk, einem geeigneten drahtlosen Gerät (z.B. Telefon oder Tablet) und einem Breitband- Internetanschluss ab, für die Plume nicht verantwortlich ist, und kann aus einer Vielzahl von Gründen unterbrochen, verzögert, verweigert oder anderweitig eingeschränkt sein. Unter anderem wegen unzureichender Netzabdeckung, Stromausfällen, Kündigung des Dienstes und Zugangs, Umwelteinflüssen, Störungen, Nichtzahlung fälliger Entgelte und Gebühren, Nichtverfügbarkeit von Funkkanalfrequenzen, Netzkapazität, Upgrades, Reparaturen oder Verlagerungen, sowie vorrangiger Zugang für Notfalldienste in Katastrophen- oder Notsituationen (zusammen "Serviceunterbrechungen"). Sie sind sich bewusst, dass Serviceunterbrechungen zu einer Beeinträchtigung der Plume Cloud Services führen können und diese möglicherweise für die Dauer der Serviceunterbrechung nicht oder nicht zuverlässig verfügbar sind. Trotz wirtschaftlich angemessener Bemühungen, Sie über Serviceunterbrechungen zu benachrichtigen (einschließlich über die App, per E-Mail oder über unsere Website), kann und wird nicht gewährleistet, dass Sie benachrichtig werden oder dass die Benachrichtigungen zu einem bestimmten Zeitpunkt eintreffen. Sie stimmen zu, dass Sie sich in Bezug auf Ihre Sicherheit oder wichtige Belange nicht auf die Plume Cloud Services verlassen werden. Die Plume Cloud Services können aus Sicherheitsgründen, aufgrund von Systemausfällen, Wartung und Reparatur oder anderen Umständen vorübergehend und ohne Vorankündigung ausgesetzt werden. Plume bietet keine spezifische Verfügbarkeitsgarantie für die Plume Cloud Services.
3. Plume Mitgliedschaften.
- 3.1. Allgemeines. Um die Plume Cloud Services nutzen zu können, ist eine aktive Plume Mitgliedschaft erforderlich. Plume bietet Abonnements für Plume Mitgliedschaften zum direkten Verkauf an Endkunden in ihrem Online-Shop und über verschiedene autorisierte Reseller an. Darüber hinaus arbeitet Plume mit anderen Unternehmen (z.B. Internet Service Providern) zusammen, die ihren Kunden im Rahmen ihres Angebots Plume Mitgliedschaften zur Verfügung stellen können ("Plume Partner").

- 3.2. Mitgliedschaftsabonnements.
- a. Von Plume erworben. Wenn Sie das Abonnement für Ihre Plume Mitgliedschaft direkt von Plume oder einem autorisierten Reseller erworben haben, beginnt dieses Abonnement frühestens ab (i) dem Zeitpunkt, an dem Sie zum ersten Mal ein Plume Produkt im Rahmen dieser Plume Mitgliedschaft beanspruchen, oder (ii) 30 Tage nach Versand der im Rahmen der Plume Mitgliedschaft bestellten Plume Produkte. Der Tag, an dem Ihr Abonnement beginnt, wird als Abrechnungsdatum des Abonnements (wie in den Verkaufsbedingungen definiert) für Ihre Plume Mitgliedschaft angesehen. Ihr Abonnement läuft ab diesem Datum für den in der jeweiligen Auftragsbestätigung angegebenen Zeitraum (wie in den Verkaufsbedingungen definiert) und kann sich bis zur Kündigung gemäß den Verkaufsbedingungen automatisch verlängern. Wenn Sie das laufende Abonnement kündigen möchten, beachten Sie bitte unsere Verkaufsbedingungen, die Sie unter discover.plume.com/sunrise/legal finden.
- b. Durch einen Plume Partner zur Verfügung gestellt. Wird Ihre Plume Mitgliedschaft von einem Plume Partner zur Verfügung gestellt (eine "Partner Mitgliedschaft"), unterliegt Plume der Verpflichtung, die Plume Cloud Services im Rahmen dieser Mitgliedschaft zu aktivieren. Diese Verpflichtung wird durch eine Vereinbarung zwischen Plume und dem Plume Partner geregelt. Ihr Anspruch auf eine Partner Mitgliedschaft wird durch Ihre Vereinbarung mit dem Plume Partner geregelt. Bitte beachten Sie, dass bei der Nutzung Ihrer Partner Mitgliedschaft der Plume Partner, der Ihre Partner Mitgliedschaft zur Verfügung stellt, und nicht Plume, für den Support für Plume Produkte und die Plume Cloud Services verantwortlich ist.
- 3.3. Übertragung und Beendigung. Plume Mitgliedschaften sind nicht auf andere Nutzerkonten übertragbar. Sobald eine Plume Mitgliedschaft innerhalb eines Nutzerkontos in Anspruch genommen wird (z.B. Sie nehmen eine Plume Mitgliedschaft innerhalb Ihres Nutzerkontos in Verbindung mit Ihrem Heimnetzwerk in Anspruch und eine weitere Plume Mitgliedschaft innerhalb desselben Nutzerkontos in Verbindung mit einem zweiten Standort), kann eine Plume Mitgliedschaft nicht auf ein anderes Nutzerkonto übertragen werden (z.B. auf einen Freund oder Familienmitglied). Des Weiteren muss ein neues oder anderweitig gültiges Abonnement abgeschlossen werden (einschließlich der Zahlung von Gebühren für die neue Plume Mitgliedschaft), wenn ein Plume Produkt, welches mit einem Nutzerkonto verknüpft ist, in Verbindung mit einem neuen oder anderen Nutzerkonto genutzt werden möchte. Dies ist erforderlich, um die Einrichtung gleicher Hardware mit einem neuen oder anderen Nutzerkonto durchführen zu können.
- 3.4. Passiver Servicemodus. Nach Ablauf eines aktiven Abonnements für eine Plume Mitgliedschaft funktionieren die Plume Produkte und die Plume App, die im Zusammenhang mit dieser Plume Mitgliedschaft genutzt werden, nur noch in beschränktem Umfang (zusammen "Passiver Servicemodus"). Wenn Sie im Passiven Servicemodus operieren, werden: (i) Ihre Plume Produkte nur auf das stationäre Heim-WLAN-System beschränkt, Sie erhalten keine Cloud-fähigen Verbesserungen der Leistung, Sicherheit oder Nutzerfreundlichkeit; und (ii) die Funktionen innerhalb der Plume App sind auf das grundlegende Netzwerkmanagement, die WLAN- Konfiguration, die Anzeige von Plume Produkten und die Anzeige von Netzwerkgeräten beschränkt. Plume Produkte erhalten weiterhin Firmware-Updates in Übereinstimmung mit den seinerzeit gültigen Support-Richtlinien von Plume, unabhängig vom Status der Plume Mitgliedschaft. Der Passive Servicemodus ist erst nach Ablauf einer aktiven Plume Mitgliedschaft verfügbar, die Sie direkt von Plume, ihren Resellern oder einem Plume Partner erworben haben. Für anderweitig erworbene Plume Hardware ist kein Passiver Servicemodus verfügbar.
4. Leistungsbeschreibungen.Die folgenden Beschreibungen der Eigenschaften und Funktionalitäten der Plume Cloud Services dienen nur zu Informationszwecken und stellen keine Zusicherung, Gewährleistung oder Vereinbarung unter diesen Geschäftsbedingungen oder anderweitig dar.
- 4.1. Adaptive Wifi™.Adaptive WiFi™ wurde entwickelt, um das Heim- WLAN-Netzwerk und die zugehörige WAN-Verbindung zu verwalten, einschließlich Netzwerkeinrichtung, WLAN-Konfiguration, Störungsmanagement, Gerätekonnektivitätskontrolle und Optimierung der Netzwerk-Backhaul-Verbindungen für eine verbesserte Leistung.
- 4.2. HomePass ®.HomePass® wurde entwickelt, um Zugriff, Inhalte und Nutzer innerhalb des Plume Netzwerks zu verwalten. Hierzu gehören der Gastzugang mit Passwortkontrolle, Tageszeitbeschränkungen, Gerätezugriffsberechtigungen, die Erstellung und Verwaltung von Personenprofilen sowie die Filterung von Inhalten.
- 4.3. AI Security. AI Security™ wurde entwickelt, um Geräte im Plume Netzwerk, einschließlich IoT-Geräte, zu überwachen und vor dem Zugang zu Internetservern oder -diensten zu schützen, welche für das Endgerät oder den Nutzer des Netzwerks schädlich sein könnten. Zu den üblichen Schutzmaßnahmen kann die Einschränkung von Diensten gehören, die für das Hosten von Kryptominern, Ransomware, Phishing-Sites, Malware, Key Loggern und Botnetzen bekannt sind.
- 4.4. Plume App.Die Plume App, die sowohl auf iOS- als auch auf Android-Plattformen verfügbar ist, dient als Benutzeroberfläche für den Endnutzer zur Einrichtung, Steuerung und Überwachung sämtlicher Plume Cloud Services.
- 5. Verfügbarkeit. Die Plume Cloud Services, oder einzelne Eigenschaften oder Teile davon, stehen möglicherweise nicht in allen Sprachen oder in allen Ländern zur Verfügung. Plume gibt keine Zusicherung, dass die Plume Cloud Services, oder einzelne Eigenschaften oder Teile davon, für die Nutzung an einem bestimmten Ort geeignet oder verfügbar sind. Sofern Sie sich für den Zugang und die Nutzung der Plume Cloud Services entscheiden, geschieht dies aus eigener Initiative und die Einhaltung anwendbarer Gesetze unterliegt Ihrer Verantwortung.
6. Änderungen.
- 6.1. Geschäftsbedingungen. Plume behält sich das Recht vor, diese Geschäftsbedingungen jederzeit und ohne Vorankündigung zu ändern. Bitte prüfen Sie diese Geschäftsbedingungen regelmäßig auf Änderungen. Sollte eine Änderung dieser Geschäftsbedingungen Ihre Rechte oder Pflichten wesentlich ändern, kann es sein, dass Sie diese Geschäftsbedingungen akzeptieren müssen, um die Plume Cloud Services weiterhin zu nutzen. Wesentliche Änderungen werden mit Ihrer Zustimmung zu den geänderten Geschäftsbedingungen wirksam. Unwesentliche Änderungen werden mit ihrer Veröffentlichung wirksam. Sofern nicht ausdrücklich unter dieser Ziffer 6 gestattet, können diese Geschäftsbedingungen nur durch eine schriftliche Vereinbarung geändert werden, die von bevollmächtigten Vertretern der Parteien dieser Geschäftsbedingungen unterzeichnet wurde. Rechtsstreitigkeiten, die sich im Rahmen dieser Geschäftsbedingungen ergeben, werden gemäß der Version der Geschäftsbedingungen beigelegt, die zum Zeitpunkt des Entstehens der Rechtsstreitigkeit in Kraft war.
- 6.2. Plume Cloud Services. Plume behält sich das Recht vor, die Plume Cloud Services jederzeit (einschließlich durch Einschränkung oder Einstellung bestimmter Eigenschaften der Plume Cloud Services) vorübergehend oder dauerhaft zu ändern oder einzustellen. Sie werden über alle wesentlichen Änderungen informiert. Soweit gesetzlich zulässig, übernimmt Plume keine Haftung für Änderungen an den Plume Cloud Services oder die Aussetzung oder Beendigung Ihres Zugangs zu den Plume Cloud Services oder deren Nutzung.
7. Eigentum; Eigentumsrechte.
- 7.1. Plume Cloud Services. Die Plume Cloud Services sind Eigentum von Plume und werden von Plume betrieben. Die visuellen Schnittstellen, Grafiken, das Design, die Zusammenstellung, die Informationen, die Daten, der Computercode (einschließlich Quellcode und Objektcode), die Produkte, die Software, die Dienstleistungen und alle anderen Elemente der von Plume bereitgestellten Plume Cloud Services ("Materialien") sind durch Gesetze zum Schutz geistigen Eigentums und andere Gesetze geschützt. Alle Materialien, die in den Plume Cloud Services enthalten sind, sind Eigentum von Plume oder ihren Lizenzgebern. Sofern nicht ausdrücklich von Plume genehmigt, dürfen Sie diese Materialien nicht nutzen. Plume behält sich alle Rechte an den Materialien vor, die nicht ausdrücklich in diesen Geschäftsbedingungen gewährt werden.
- 7.2. Feedback. Wenn Sie sich dafür entscheiden, Input und Vorschläge zu Problemen mit den Plume Cloud Services oder mit vorgeschlagenen Änderungen oder Verbesserungen zu übermitteln ("Feedback"), gewähren Sie Plume damit das uneingeschränkte, unbefristete, unwiderrufliche, nicht ausschließliche, vollständig bezahlte, gebührenfreie Recht, das Feedback in jeder Weise und für jeden Zweck zu nutzen, einschließlich zur Verbesserung der Plume Cloud Services und zur Entwicklung anderer Produkte und Dienstleistungen. Soweit dies nach anwendbaren Gesetzen und Regelungen zulässig ist, erklären Sie sich auch damit einverstanden, auf sämtliche Urheberpersönlichkeitsrechte zu verzichten, die Sie möglicherweise gemäß des Copyright Designs and Patents Act 1988 (in der jeweils gültigen Fassung) oder ähnlicher Gesetze im Rest der Welt an dem Feedback haben.
- 8. Unerlaubte Handlungen. Mit der Nutzung der Plume Cloud Services erklären Sie sich damit einverstanden:
- 8.1. die Plume Cloud Services nicht für illegale Zwecke oder unter Verstoß gegen Gesetze zu nutzen;
- 8.2. nicht gegen Rechte Dritter zu verstoßen oder Andere dazu aufzufordern, diese zu verletzen, einschließlich durch Verletzung oder widerrechtliche Aneignung von geistigen Eigentumsrechten Dritter;
- 8.3. die sicherheitsrelevanten Funktionen der Plume Cloud Services nicht zu beeinträchtigen, einschließlich durch: (i) Deaktivieren oder Umgehen von Eigenschaften, die die Nutzung oder das Kopieren von Inhalten verhindern oder einschränken; oder (ii) Reverse Engineering oder anderweitige Versuche, den Quellcode auch nur eines Teils des Plume Cloud Services zu ermitteln, es sei denn, soweit die jeweilige Handlung durch anwendbares Recht ausdrücklich zulässig ist;
- 8.4. den Betrieb der Plume Cloud Services oder die Nutzung der Plume Cloud Services durch einen Nutzer nicht zu beeinträchtigen, einschließlich durch: (i) das Hochladen oder anderweitige Verbreiten von Viren, Adware, Spyware, Worm oder anderem schädlichen Code; (ii) das Verbreiten unaufgeforderter Angebote oder Werbung an einen anderen Nutzer der Plume Cloud Services; (iii) das Erheben personenbezogener Daten über einen anderen Nutzer oder Dritte ohne deren Zustimmung oder auf anderweitiger Grundlage gemäß der anwendbaren Gesetze; oder (iv) das Eingreifen oder Unterbrechen von Netzwerken, Geräten oder Servern, die mit den Plume Cloud Services verbunden sind oder verwendet werden, um die Plume Cloud Services bereitzustellen;
- 8.5. keine betrügerische Handlungen vorzunehmen, einschließlich des Ausgebens als eine bestimmte natürliche oder juristische Person, der falschen Behauptung einer bestimmten Zugehörigkeit, den unbefugten Zugriff auf ein anderes Nutzerkonto der Plume Cloud Services oder der falschen Angabe Ihres Alters oder Geburtsdatums;
- 8.6. den gemäß diesen Geschäftsbedingungen gewährten Zugriff oder die Materialien (wie in Ziffer 7.1 definiert) oder das Recht oder die Möglichkeit, Materialien einzusehen, darauf zuzugreifen oder zu verwenden, nicht zu verkaufen oder anderweitig zu übertragen; und
- 8.7. nicht zu versuchen, eine der in dieser Ziffer 8 beschriebenen Handlungen vorzunehmen oder eine Person zu unterstützen oder zu beauftragen, sich an einer der in dieser Ziffer 8 beschriebenen Handlungen zu beteiligen.
9. Geschäftsbedingungen von Dritten.
9.1. Websites von Dritten und verknüpfte Websites. Plume kann über die Plume Cloud Services Tools bereitstellen, die es Ihnen ermöglichen, Informationen, einschließlich Benutzerinhalte, an Drittanbieter zu exportieren. Umfasst sind insbesondere Funktionen, die es Ihnen ermöglichen, Ihr Konto auf Plume mit einem Konto bei einem Drittanbieter, wie Twitter oder Facebook, zu verknüpfen, oder Buttons von Drittanbietern zu implementieren (wie z.B. "like" oder "share" Buttons). Durch die Verwendung eines dieser Tools erklären Sie sich damit einverstanden, dass Plume diese Informationen an den jeweiligen Drittanbieter weiterleitet. Die Übertragung dieser Informationen durch Plume erfolgt in Übereinstimmung mit ihrer Datenschutzrichtlinie. Die Dienste von Drittanbietern unterliegen nicht der Kontrolle von Plume, und Plume übernimmt soweit gesetzlich zulässig, keine Verantwortung für die Nutzung Ihrer exportierten Informationen durch Dienste von Drittanbietern. Die Plume Cloud Services können auch Links zu Websites Dritter enthalten. Die verlinkten Websites unterliegen nicht der Kontrolle von Plume, und Plume ist nicht für deren Inhalt verantwortlich, außer Plume wurde ordnungsgemäß darüber informiert, dass solche Websites oder Seiten von Dritten illegale oder schädliche Inhalte enthalten.
10. Nutzerinhalte.
- 10.1. Nutzerinhalte im Allgemeinen. Bestimmte Eigenschaften der Plume Cloud Services ermöglichen es Nutzern, Inhalte hochzuladen, einschließlich Nachrichten, Bewertungen, Fotos, Videos, Bilder, Ordner, Daten, Texte oder andere Arten von Werken ("Nutzerinhalte) und Nutzerinhalte innerhalb der Plume Cloud Services zu veröffentlichen. Sie behalten sämtliche Urheber- und sonstigen Eigentumsrechte, die Sie an den Nutzerinhalten haben.
- 10.2. Beschränkte Lizenzgewährung an Plume. Indem Sie Nutzerinhalte in oder über die Plume Cloud Services zur Verfügung stellen, gewähren Sie Plume ein weltweites, nicht exklusives, unbefristetes, gebührenfreies, vollständig bezahltes Recht bzw. eine entsprechende Lizenz (mit dem Recht auf Unterlizenzierung), Nutzerinhalte zu hosten, zu speichern, zu übertragen, anzuzeigen, auszuführen, zu vervielfältigen, zum Zwecke der Formatierung für die Anzeige zu ändern und Ihre Nutzerinhalte ganz oder teilweise in beliebigen Medienformaten und über alle jetzt bekannten oder später entwickelten Medienkanäle zu verteilen. Informationen über die Verwendung der von uns erfassten Daten finden Sie in Plumes Datenschutzrichtlinie.
- 10.3. Beschränkte Lizenzgewährung an andere Nutzer. Indem Sie den anderen Nutzern der Plume Cloud Services Nutzerinhalte in oder über die Plume Cloud Services zur Verfügung stellen, gewähren Sie diesen Nutzern eine nicht-exklusive Lizenz für den Zugriff und die Nutzung dieser Nutzerinhalte gemäß diesen Geschäftsbedingungen und der Funktionsweise der Plume Cloud Services.

10.4. Zusicherungen und Gewährleistung für Nutzerinhalte. Plume übernimmt keine Haftung im Zusammenhang mit Nutzerinhalten. Sie tragen die alleinige Verantwortung für Ihren Nutzerinhalt und die Folgen der Bereitstellung von Nutzerinhalten über die Plume Cloud Services. Durch die Bereitstellung von Nutzerinhalten über die Plume Cloud Services erklären, versichern und gewährleisten Sie Folgendes:
- a. Sie sind der Urheber und Eigentümer der Nutzerinhalte oder verfügen über die erforderlichen Lizenzen, Rechte, Genehmigungen und Berechtigungen, um Plume und die Nutzer der Plume Cloud Services zu ermächtigen, Ihre Nutzerinhalte zu verwenden und zu verbreiten, soweit dies zur Ausübung der von Ihnen in diesem Abschnitt gewährten Lizenzen in der von Plume, den Plume Cloud Services und diesen Geschäftsbedingungen beschriebenen Weise erforderlich ist;
- b. Ihr Nutzerinhalt und die Verwendung Ihrer Nutzerinhalte, wie sie in diesen Geschäftsbedingungen vorgesehen ist, wird zum jetzigen Zeitpunkt und zukünftig: (i) Rechte eines Dritter nicht verletzen, missachten, sich widerrechtlich aneignen, insbesondere Urheberrechte, Markenrechte, Patente, Geschäftsgeheimnisse, Urheberpersönlichkeitsrechte, Recht auf Privatsphäre, Veröffentlichungsrechte oder anderes geistiges Eigentum oder Schutzrecht; (ii) das Recht auf Privatsphäre, Veröffentlichungsrechte oder andere Eigentumsrechte einer anderen Person nicht verleumden, diffamieren, beleidigen oder darin eindringen; oder (iii) Plume nicht dazu zu veranlassen, gegen Gesetze oder Vorschriften zu verstoßen; und
- c. Ihr Nutzerinhalt kann von einer verständigen Person nicht als anstößig, profan, unanständig, pornographisch, belästigend, bedrohlich, beschämend, hasserfüllt oder anderweitig unangemessen wahrgenommen werden.
- 10.5. Haftungsausschluss für Nutzerinhalte. Plume ist nicht verpflichtet, Nutzerinhalte zu bearbeiten oder zu überprüfen, die Sie oder andere Nutzer einstellen oder veröffentlichen. Plume übernimmt keine Verantwortung oder Haftung für Nutzerinhalte, es sei denn, Plume wurde ordnungsgemäß darüber informiert, dass Nutzerinhalte illegale oder schädliche Inhalte enthalten. Plume ist berechtigt, Nutzerinhalte, die gegen diese Geschäftsbedingungen verstoßen oder anderweitig anstößig sind, jederzeit und ohne vorherige Ankündigung zu überprüfen, zu entfernen, zu bearbeiten oder zu sperren. Sie sind sich bewusst, dass Sie bei der Nutzung der Plume Cloud Services Nutzerinhalten aus einer Vielzahl von Quellen ausgesetzt sind und sind sich darüber im Klaren, dass Nutzerinhalte fehlerhaft, beleidigend, unsittlich oder anstößig sein können. Wenn ein Nutzer oder Inhaltsinhaber uns mitteilt, dass der Nutzerinhalt vermeintlich nicht diesen Geschäftsbedingungen entspricht, ist Plume berechtigt, die Behauptung zu prüfen und zu entscheiden, ob der Nutzerinhalt entfernt werden soll, worauf Plume sich das Recht vorbehält, dies jederzeit und ohne vorherige Ankündigung zu tun. Zur Klarstellung: Plume erlaubt keine urheberrechtsverletzenden Aktivitäten auf den Plume Cloud Services.
- 10.6. Überwachung von Inhalten. Plume kontrolliert nicht und hat keine Überwachungsverpflichtung für: (a) Nutzerinhalte; (b) sämtliche von Dritten zur Verfügung gestellten Inhalte; oder (c) die Nutzung der Plume Cloud Services durch ihre Nutzer. Sie sind damit einverstanden, dass sich Plume das Recht vorbehält von Zeit zu Zeit alle über die Plume Cloud Services übertragenen oder empfangenen Informationen für betriebliche und andere Zwecke zu überwachen. Wenn sich Plume zu irgendeinem Zeitpunkt für die Überwachung der Inhalte entscheidet, übernimmt Plume weiterhin keine Verantwortung oder Haftung für Inhalte oder Verluste oder Schäden, die durch die Nutzung von Inhalten entstehen. Im Zuge der Überwachung können Informationen in Einklang mit Plumes Datenschutzrichtlinie untersucht, aufgezeichnet, kopiert und verwendet werden.
11. Haftungsausschlüsse; Gewährleistung
- 11.1. Plume Cloud Services. Die Plume Cloud Services und alle Materialien und Inhalte, die über die Plume Cloud Services zugänglich sind, werden "wie gesehen" und "wie verfügbar" bereitgestellt. Plume gewährleistet nicht, dass die Plume Cloud Services oder ein Teil der Plume Cloud Services oder Materialien oder Inhalte, die über die Plume Cloud Services angeboten werden, ohne Unterbrechung bereitstehen, sicher oder frei von Fehlern, Viren oder anderen schädlichen Komponenten sind, und Plume gewährleistet nicht, dass eines der genannten Probleme behoben wird.

11.2. Gewährleistung. Die gesetzliche Gewährleistung von Plume für Sach- und Rechtsmängel ist wie folgt beschränkt:
- a. Plume Cloud Services. Plume wird wirtschaftlich angemessene Anstrengungen unternehmen, um jegliche Abweichung ohne zusätzliche Kosten für Sie zu beheben, vorausgesetzt, Sie informieren Plume unverzüglich bei Bekanntwerden schriftlich über die spezifischen Einzelheiten der Abweichung. Sollten diese Anstrengungen erfolglos sein, sind Sie berechtigt, die Vereinbarung zu kündigen und eine Erstattung aller im Voraus bezahlten und nicht genutzten Gebühren für die entsprechenden Plume Cloud Services zurückzuerhalten. Ihre gesetzlichen Ansprüche auf Rückerstattung der Gebühren beschränken sich in jedem Fall auf die Erstattung nach den Vorschriften zur ungerechtfertigten Bereicherung. Ihr Anspruch auf Schadenersatz im Rahmen von Ziffer 12.2 bleibt hiervon unberührt.
- b. Komponenten eines Werkvertrags. Sofern und insoweit Plume Cloud Services als Werke (im Sinne der §§ 631 ff. Bürgerliches Gesetzbuch (BGB)) anzusehen sind (falls zutreffend) gilt Folgendes: Plume erbringt Plume Cloud Services (nur sofern und insoweit Plume Cloud Services als Werke im Sinne der §§ 631 ff. BGB gelten), die den Angaben (wie in der Leistungsbeschreibung dargelegt) in allen wesentlichen Belangen entsprechen. Sie sind verpflichtet, Plume Mängel innerhalb der Verjährungsfrist schriftlich zu melden, um Gewährleistungsansprüche geltend zu machen. Plume hat das Recht, innerhalb einer angemessenen Frist zwei Versuche zur Beseitigung des Mangels vorzunehmen. Falls Plumes Nacherfüllung beim zweiten Versuch fehlschlägt, haben Sie das Recht, die gezahlten oder zu zahlenden Gebühren zurückzufordern oder nach einer letzten Mahnung vom Vertrag zurückzutreten.
- c. Gewährleistungszeitraum. Ihr Recht, Schadenersatz im Sinne der Ziffer 12.2 zu verlangen, bleibt unberührt. Sach- und Rechtsmängelansprüche verjähren nach Ablauf von 1 Jahr ab dem gesetzlich vorgesehenem Beginn der Verjährungsfrist. Dies gilt nicht in den Fällen der unbeschränkten Haftung nach Ziffer 12.2, in denen die gesetzlichen Verjährungsvorschriften uneingeschränkt gelten.
- 11.3. Beratung und Auskunft. Keine Beratung oder Auskunft, ob mündlich oder schriftlich, die Sie von den Plume Cloud Services oder den Plume Gesellschaften erhalten, oder Materialien oder Inhalte, die über die Plume Cloud Services verfügbar sind, begründen Gewährleistungspflichten für eine der Plume Gesellschaften oder die Plume Cloud Services, es sei denn dies ist nicht ausdrücklich in diesen Geschäftsbedingungen festgelegt. Plume ist nicht verantwortlich für Schäden, die durch die Plume Cloud Services und Ihren Umgang mit anderen Nutzern der Plume Cloud Services ggf. entstehen. Sie sind sich bewusst und erklären sich damit einverstanden, dass Sie sämtliche Bereiche der Plume Cloud Services nach eigenem Ermessen und Risiko nutzen und dass Plume nicht verantwortlich ist für Schäden an Ihrem Eigentum (einschließlich Ihres in Verbindung mit den Plume Cloud Services verwendeten Computersystems oder Ihrem Mobilgerät) oder für Verluste von Daten, einschließlich Nutzerinhalten.
12. Haftungsbeschränkung.

12.1. Haftungsbeschränkung. In Abweichung von der beschränkten Gewährleistung und vorbehaltlich der Regelung in der folgenden Ziffer ist die gesetzliche Haftung von Plume für Schadensersatz wie folgt beschränkt:
- a. Plume haftet der Höhe nach begrenzt auf den bei Vertragsschluss typischerweise vorhersehbaren Schaden für die leicht fahrlässige Verletzung wesentlicher Pflichten aus dem Schuldverhältnis (d.h. solcher Vertragspflichten, deren Erfüllung die ordnungsgemäße Durchführung der Vereinbarung überhaupt erst ermöglicht, deren Verletzung die Erreichung des Vertragszwecks gefährdet und auf deren Einhaltung Sie regelmäßig vertrauen, sog. "Kardinalpflichten");
- b. Plume haftet nicht für die leicht fahrlässige Verletzung nicht wesentlicher Pflichten aus dem Schuldverhältnis.
- 12.2. Gesetzliche Haftung. Die vorstehende Haftungsbeschränkung gilt nicht im Fall gesetzlich zwingender Haftung (insbesondere die Haftung nach dem Produkthaftungsgesetz), bei Übernahme einer Garantie oder vorsätzlich oder grob fahrlässig verursachten Schäden sowie für jede Art von vorsätzlich oder fahrlässig verursachten Personenschäden.
- 12.3. Mitwirkungspflicht. Sie sind verpflichtet, angemessene Maßnahmen zur Minderung und/oder Vermeidung von Schäden zu ergreifen, einschließlich ihrer Verpflichtung, regelmäßig Sicherungskopien von Daten anzufertigen und Sicherheitschecks durchzuführen (insbesondere zum Schutz oder zur Erkennung von Viren, Malware und anderen Schadprogrammen).
- 12.4. Anfängliche Mängel. Eine verschuldensunabhängige gesetzliche Haftung von Plume für anfängliche Sach- oder Rechtsmängel ist ausgeschlossen.
- 12.5. Plume Mitarbeiter. Soweit die Haftung von Plume beschränkt oder ausgeschlossen ist, gilt dies auch für die persönliche Haftung ihrer gesetzlichen Vertreter, Arbeitnehmer und Erfüllungsgehilfen.
- 12.6. Bedeutung des Begriffs "Garantie". Soweit in diesem Dokument auf “Garantien” verwiesen wird, stimmen Sie zu und erkennen an, dass der Begriff “Garantie” der Ausdruck der regulären Leistungsverpflichtungen von Plume und der damit verbundenen Garantien ist.
13. Sonstiges.
- 13.1. Allgemeine Bedingungen. Diese Geschäftsbedingungen und alle anderen Vereinbarungen, die ausdrücklich durch diese Geschäftsbedingungen in Bezug genommen wurden, stellen die vollständige und ausschließliche Vereinbarung zwischen Ihnen und Plume über Ihre Nutzung der Plume Cloud Services dar. Sie sind nicht berechtigt, diese Geschäftsbedingungen oder Ihre Rechte aus diesen Geschäftsbedingungen ganz oder teilweise, kraft Gesetzes oder anderweitig ohne Plumes vorherige schriftliche Zustimmung abzutreten oder zu übertragen. Plume ist berechtigt, diese Geschäftsbedingungen jederzeit und ohne vorherige Zustimmung abzutreten. Unterlässt es Plume zu einem Zeitpunkt Erfüllung oder die Einhaltung der Bestimmungen einzufordern, bleibt Plumes Recht zu einem anderen Zeitpunkt Erfüllung zu verlangen unberührt. Der Verzicht auf die Verfolgung eines Verstoßes oder der Nichterfüllung dieser Geschäftsbedingungen gilt nicht als Verzicht auf die Verfolgung späterer Verstöße oder nachfolgender Nichterfüllung oder der jeweils entsprechenden Regelung. Die Verwendung von Überschriften in diesen Geschäftsbedingungen dient nur der Übersichtlichkeit und hat keinen Einfluss auf die Auslegung einer Bestimmung. In diesen Geschäftsbedingungen bezeichnet die Verwendung des Begriffs "einschließlich bzw. insbesondere" "einschließlich, aber nicht beschränkt auf". Sollte ein Teil dieser Geschäftsbedingungen für ungültig oder nicht durchsetzbar erklärt werden, wird der nicht durchsetzbare Teil in größtmöglichem Umfang durchgesetzt, und die übrigen Teile bleiben in vollem Umfang wirksam.
- 13.2. Anwendbares Recht. Diese Bedingungen unterliegen schweizer Recht.
- 13.3. Rechtsstreitigkeiten. Sie erklären sich damit einverstanden, die Streitigkeiten zwischen Ihnen und uns über diese Bedingungen ausschließlich durch die deutschen Gerichte zu regeln. Die europäische Online-Plattform für die Streitbeilegung: http://ec.europa.eu/consumers/odr/ bietet Informationen über alternative Streitbeilegungsverfahren, die gegebenenfalls von Interesse sein könnten.
- 13.4. Datenschutzrichtlinie. Bitte lesen Sie die Datenschutzrichtlinie von Plume sorgfältig durch, um Informationen über die Erhebung, Nutzung, Speicherung und Weitergabe Ihrer personenbezogenen Daten zu erhalten.
- 13.5. Zusätzliche Bestimmungen. Ihre Nutzung der Plume Cloud Services unterliegt allen zusätzlichen Bestimmungen, Richtlinien, Regelungen oder Leitlinien, die für die Plume Cloud Services oder bestimmte Funktionen der Plume Cloud Services gelten und die Plume auf den Plume Cloud Services veröffentlicht oder auf die Plume in den Plume Cloud Services verlinkt (die "Zusätzlichen Bestimmungen").

- 13.7. Hinweis zu Apple. Diese Ziffer 13.7 gilt nur für den Fall, dass Sie Plumes mobile Anwendung auf einem iOS-Gerät nutzen. Sie erkennen an, dass diese Geschäftsbedingungen nur zwischen Ihnen und Plume gelten, nicht gegenüber Apple Inc. ("Apple"). Apple ist nicht verantwortlich für die Plume Cloud Services oder deren Inhalt und ist nicht verpflichtet, Wartungs- und Supportleistungen im Zusammenhang mit den Plume Cloud Services zu erbringen. Wenn die Plume Cloud Services den geltenden Zusicherungen nicht entsprechen, haben Sie die Möglichkeit, Apple zu benachrichtigen und Apple wird Ihnen den entsprechenden Kaufpreis für die mobile Anwendung erstatten. Apple hat, soweit dies nach geltendem Recht zulässig ist, keine andere Gewährleistungsverpflichtung in Bezug auf die Plume Cloud Services. Apple ist nicht dafür verantwortlich, von Ihnen oder Dritten im Zusammenhang mit den Plume Cloud Services oder Ihrem Besitz und/oder Ihrer Nutzung der Plume Cloud Services geltend gemachten Ansprüche zu addressieren, einschließlich: (a) Produkthaftungsansprüche; (b) sämtliche Ansprüche im Zusammenhang mit der Verletzung geltender gesetzlicher oder regulatorischer Anforderungen durch die Plume Cloud Services; oder (c) Ansprüche im Zusammenhang mit dem Verbraucherschutz oder ähnlichen Gesetzen. Apple ist nicht verantwortlich für die Ermittlung, Verteidigung, Beilegung und Entlastung von Ansprüchen Dritter, wonach die Plume Cloud Services und/oder Ihr Besitz und Ihre Nutzung der Plume Cloud Services die geistigen Eigentumsrechte Dritter verletzen. Sie erklären sich damit einverstanden, bei der Nutzung der Plume Cloud Services die geltenden Bedingungen von Drittanbietern einzuhalten. Apple und die Apple Tochtergesellschaften sind Drittbegünstigte dieser Geschäftsbedingungen. Nach Ihrer Annahme dieser Geschäftsbedingungen hat Apple das Recht (und es wird davon ausgegangen, dass Apple ein entsprechendes Recht akzeptiert hat), diese Bedingungen gegen Sie als Drittbegünstigten dieser Geschäftsbedingungen geltend zu machen. Sie erklären hiermit und versichern, dass: (i) Sie sich nicht in einem Land befinden, das einem Embargo der US-Regierung unterliegt, oder das von der US- Regierung als "terroristisch unterstützendes" Land ausgewiesen wurde; und (ii) Sie nicht auf der Liste der verbotenen oder eingeschränkten Vertragsparteien der US-Regierung aufgeführt sind.
